IMPORTANT - READ CAREFULLY: This End-User License Agreement is a
legal contract between you (either an individual or single business entity,
called the"Licensee") and WorshipCenter Software, for the limited,
non-exclusive use of the client version of the software product (the"Product"or"Software"), which includes computer Software, and, as
applicable, associated media, printed materials, and online electronic
documentation. By clicking the"Accept"Button or installing or using the
Product, you are consenting to be bound by and are becoming a party to this
contract. If you do not agree to all of the terms and conditions herein, click
the button that indicates you do not accept the terms and conditions AND
DO NOT INSTALL THE SOFTWARE.
1. DEFINITIONS. (i) WorshipCenter Software. - Refers to the company in its entirety,
which owns the exclusive rights to WorshipCenter Pro, associated media, printed
materials, online electronic documentation, and copyright pertaining to, as
well as the rights to all intellectual property to all of the above. (ii) WorshipCenter Pro --
Refers to the Product software, help files, tutorials, printed materials, and any
other associated media. (iii) User -- Refers to any person(s) who operates the
product. This may or may not be the same person as the Licensee. (iv)
Subsequent User(s) -- refers to any person or persons who operate the
product under the authorized license of a said Licensee. For the purposes
herein, the Licensee will be held responsible for any prohibited actions
performed by the user whether they be intentional, non-intentional, or
accidental. (v) Licensee -- Refers to the person(s) who has downloaded the
product and thereby has read and is in full agreement with all of the terms
and conditions of this legal contract
, to whom specific, expressly written, rights are granted herein, and of whom
full responsibility for meeting those terms and conditions is required.
2. LICENSE. WorshipCenter Software, hereby grants the Licensee a limited, non-
exclusive, non-transferable license to the product. The license grants the
following rights to the Licensee: Use of the Software on a single terminal or
workstation of a computer. The action of loading the Software into the same
computer?s temporary memory (RAM). The action of installing the Software
onto a permanent storage device (a hard drive) as described in the
documentation. The act of making a single copy of the Product for the sole
purpose of back-up and/or archive storage, provided the copy contains all of
the original Product?s proprietary notices and that it is only used for back-up
purposes. The creation of printouts, originating from the product and its
applications, for personal use only.
3. RESTRICTIONS. Except as otherwise made explicit herein, the Licensee
(or User) may not: Modify or create any derivative works of the Product or
documentation, including translation or localization; Decompile, disassemble,
reverse engineer, or otherwise attempt to derive the source code for the
Product (except to the extent applicable laws may specifically prohibit such
restriction); Redistribute, encumber, sell, rent, lease, sublicense, or otherwise
transfer any rights to the Product or; Remove or alter any trademark, logo,
copyright or other proprietary notices, legends, symbols, or labels in the
Product; Publish any results of benchmark tests run on the Product to a third
party without prior written consent from WorshipCenter Software; Permit the use of the
product by another individual (or User) except pursuant to the terms and
conditions of this Contract;
4. NO UNAUTHORIZED REPRODUCTION. The product is licensed, NOT
SOLD, to the Licensee, pursuant to and contingent upon the terms and
conditions of this Contract. The licensee is in full agreement that WorshipCenter Software,
and its licensors in no way transfer ownership interest in the Product, the
product, the intellectual property of the Product or product, worshipcenterpro.com, or any
related material to the licensee or anyone else under this Contract or
otherwise. Further, WorshipCenter Software, and its licensors reserve all rights not made
explicit hereunder. Any reproduction or redistribution of the Product,
including, but not limited to, the product in violation of this Contract is
expressly prohibited by law, and may result in severe civil and criminal
penalties. WorshipCenter Software actively enforces its intellectual property rights to the
fullest extent of the law. Without limiting the foregoing, copying or
reproduction of the Product or product to any other server or location for
further reproduction or redistribution is expressly prohibited.
The Licensee (himself and on behalf of the User) expressly agrees that use
of the product and worshipcenterpro.com is at the sole risk of the Licensee. The trial version of the product
is provided free of charge, and, therefore, on an"AS IS"basis, without
warranty of any kind, either express or implied, including without limitation the
warranties that it is free of defects, merchantable, fit for a particular purpose,
results, or non-infringing. Neither WorshipCenter Software, nor any other party involved in
creating, producing, or delivering the product or worshipcenterpro.com shall be liable for
any direct, indirect, incidental, special or consequential damages arising out
of use of the product or worshipcenterpro.com or inability to use WorshipCenter Pro or worshipcenterpro.com
or out of any breach of any warranty or any damages whatsoever
resulting from loss of use, data or profits, whether in an action based upon
contract, negligence or other tortious conduct, arising out of or in connection
with the use or performance of the product or worshipcenterpro.com. Notwithstanding
the foregoing, the total amount of liability accepted by WorshipCenter Software to
Licensee shall be limited to the
amount Licensee paid for the use of the product and the worshipcenterpro.com, if any.
5.DISCLAIMER OF WARRANTY AND LIABILITY. THE LICENSEE (
HIMSELF AND ON BEHALF OF THE USER) EXPRESSLY AGREES THAT
USE OF THE product AND worshipcenterpro.com IS AT THE SOLE RISK OF THE
LICENSEE. THE trial version IS PROVIDED FREE OF CHARGE, AND,
THEREFORE, ON AN"AS IS"BASIS, WITHOUT WARRANTY OF ANY
KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT
LIMITATION THE WARRANTIES THAT IT IS FREE OF DEFECTS,
MERCHANTABLE, FIT FOR A PARTICULAR PURPOSE, RESULTS, OR
NON-INFRINGING. NEITHER WorshipCenter Software, NOR ANY OTHER PARTY
INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE product
OR worshipcenterpro.com SHALL BE LIABLE FOR ANY DIRECT, INDIRECT,
INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT
OF USE OF THE PRODUCT OR product OR worshipcenterpro.com OR INABILITY TO
USE THE product OR worshipcenterpro.com OR OUT OF ANY BREACH OF ANY
WARRANTY OR ANY DAMAGES WHATSOEVER RESULTING FROM
LOOS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION BASED
UPON CONTRACT, NEGLIGENCE OR OTHER TORTIOUS CONDUCT,
ARISING OUT OF OR IN CONNECTI ON WITH THE USE OR
PERFORMANCE OF THE PRODUCT OR pro
duct OR worshipcenterpro.com. NOTWITHSTANDING THE FOREGOING, THE TOTAL
AMOUNT OF LIABILITY ACCEPTED BY WorshipCenter Software TO LICENSEE SHALL
BE LIMITED TO THE AMOUNT LICENSEE PAID FOR THE USE OF THE
product AND worshipcenterpro.com, IF ANY.
6. INDEMNITY. The Licensee (himself and on behalf of the"User") agrees
to defend, indemnify, and hold harmless WorshipCenter Software, and its parent and
affiliates and all of their employees, agents, directors, officers, proprietors,
partners, representatives, shareholders, servants, attorneys, predecessors,
successors, and assigns, from and against any and all claims, proceedings,
damages, injuries, liabilities, losses, costs, and expenses (including
reasonable attorneys? fees and litigation expenses), relating to or arising from
use of the Product or product, worshipcenterpro.com, or any site linked to the worshipcenterpro.com as
set forth in section 13, or any breach of contract made by Licensee (and
thereby by any User whatsoever).
7. PROPRIETARY RIGHTS. The product and all material contained in worshipcenterpro.com
is protected by law, including but not limited to United States
copyright, trade secret, and trademark law, as well as other state, national,
and international laws and regulations. The title, ownership rights, and
intellectual property rights in and to the product shall remain in WorshipCenter Software
and/or its suppliers. Title and related rights in the content accessed through
the product is the property of the applicable content owner and is protected
by applicable law. All rights reserved. WorshipCenter Software also owns a copyright to
worshipcenterpro.com as a collective work and/or compilation, and in the selection,
coordination, arrangement, and enhancement of such content. The license
granted under this contract gives Licensee no rights to any part of the
aforementioned content. Unauthorized use of the WorshipCenter Software or any material
contained on the worshipcenterpro.com may violate copyright laws, trademark laws, trade
secret laws, the la ws of privacy and publicity, and commun
ications regulations and statutes. WorshipCenter Pro is a trademark of WorshipCenter Software
8. CREATION OF VISUAL CONTENT. The product permits the
creation, display, and posting of unique"visual styles"to be used in
connection with the product. The Licensee is in agrees that creation,
display, or posting of any visual styles that contain or include any of the
following is strictly prohibited: Nudity or pornographic material of any kind,
including but not limited to material that exploits children or minors; Material
that is offensive to the online community, including expressions of bigotry,
prejudice, racism, hatred, or profanity; Material or information about illegal
activities or which promotes harm, injury, or any act of cruelty to persons,
property, or animals; Defamatory or libelous statements about any person or
group; Material which infringes the intellectual property or proprietary rights of
any third parties as referenced in Section 8.
9. SUBMISSION TO SITE. By transmitting any suggestions, information,
material,"visual styles"or other content (collectively"content") to WorshipCenter Software,
whether by U.S. postal service, any other mail carrier (whether
private or public, foreign or domestic), E-mail, telephone, or telegraph, the
Licensee: represents and warrants that such content does not infringe the
intellectual property or proprietary rights of any third parties (including but not
limited to patents, copyrights, trade secret, or trademark rights) and that the
Licensee has all rights necessary to convey such content to WorshipCenter Software;
automatically grants to WorshipCenter Software the royalty-free, perpetual, irrevocable,
exclusive right and license to use, reproduce, modify, adapt, publish,
translate, create derivative works from, distribute, redistribute, transmit,
perform and display such content (in whole or part) worldwide and/or to
incorporate it in other works in any form, media, or technology now known or
later developed for the full term of any rig
hts that may exist in such content. Further, WorshipCenter Software is free to use any
ideas, concepts, know-how, techniques, and suggestions contained in any
content or communications sent to the Website for any purpose whatsoever,
including but not limited to creating, manufacturing, and marketing products
and/or services using such information.
10. PROHIBITED USES: HIGH RISK ACTIVITIES. The product is not fault
-tolerant and is not designed, manufactured or intended for use or resale as
on-line control equipment in hazardous environments requiring fail-safe
performance, such as in the operation of nuclear facilities, aircraft navigation
or communication systems, air traffic control, direct life support machines, or
weapons systems, in which the failure of the product could lead directly to
death, personal injury, or severe physical or environmental damage ("High
Risk Activities). Accordingly, WorshipCenter Software and its suppliers specifically disclaim
any express or implied warranty of fitness for High Risk Activities. Licensee
agrees that WorshipCenter Software and its suppliers will not be liable for any claims or
damages arising from the use of the product in such applications.
11. THIRD PARTY MATERIALS, SOFTWARE, OR SERVICES. Third
Party Materials on worshipcenterpro.com. The Licensee (or the"User") acknowledges
and agrees that worshipcenterpro.com features materials provided by Users and other
Third Parties, including but not limited to user-submitted"channels"and"skins."WorshipCenter Software makes no representation with respect to, nor does it
guarantee or endorse the quality, non-infringement, accuracy, completeness,
timeliness, reliability, or correct sequencing of, such Third Party materials or
any other materials which such Third Party materials may access. WorshipCenter Software
expressly disclaims responsibility and liability for all Third-Party provided
materials contained on or accessed through worshipcenterpro.com. Third Party Software
or Services. The Licensee (or the"User") acknowledges that the product
may incorporate software provided to WorshipCenter Software by Third Parties that was
not written or developed by WorshipCenter Software or that the product as provided by %
company or as configured by the licensee (or the"user") may access or be
use
d to access services provided by Third Parties not controlled by WorshipCenter Software
("Third Party Software or Services). Without in any way limiting the generality
of the foregoing sections, and anything to the contrary in this contract
notwithstanding, WorshipCenter Software shall have no liability or responsibility for the
operation or performance of the Third Party Software or Services and shall
not be liable for any damages, costs, or expenses, direct or indirect, arising
out of the performance or failure to perform of the Third Party Software or
Services, or from any claims that the Third Party Software or Services or the
use thereof infringes the copyright or other pr oprietary rights of any Third
Party. WorshipCenter Software makes no warranties of any kind whatsoever, for a
particular purpose, and non-infringement in connection with such Third Party
Software or Services. The Licensee acknowledges and agrees that the
Licensee?s rights in such Third Party Software or Services may be subject to
the terms (including the termination provisi
ons thereof) of any license or other agreement, if any, pursuant to which %
company has acquired the right to distribute or provide access to the Third
party Software or Services, and WorshipCenter Software specifically reserves the right to
modify or remove such Third Party Software or Services and to terminate all
Licensee rights to such Third Party Software or Services under this Contract
at any time. The Licensee agrees to cooperate with WorshipCenter Software and to take
all necessary actions for any such modification or removal of Third Party
Software or Services by WorshipCenter Software contemplated by the foregoing.
13. TERM AND TERMINATION. This Contract will take effect at the time
the Licensee (on behalf of any User whatsoever) clicks"I Accept"and
begins using the product. WorshipCenter Software reserves the right at any time to deny
the Licensee (and any subsequent Users) access to the product or worshipcenterpro.com
or any portion thereof, and to terminate this Contract without notice to
Licensee or any User. This Contract and the license granted hereunder will
terminate automatically if Licensee (or related User(s)) fail to comply with the
limitations described herein. Upon termination, Licensee must destroy all
copies of the product and any related documentation. All of Licensee?s and
any User?s obligations, representations and warranties made herein shall
survive termination of this contract.
14. EXPORT RESTRICTIONS. The worshipcenterpro.com is controlled and operated by
WorshipCenter Software from its offices within the United States. WorshipCenter Software makes no
representation that the product or other materials accessed through worshipcenterpro.com
are appropriate or available for use in other locations, and access to them
from territories where their contents are illegal is prohibited. Those who
choose to access the product or worshipcenterpro.com from other locations do so on their
own volition and are responsible for compliance with applicable local laws.
You may not export or re-export any product received under this Contract
except in full compliance with all United States laws and regulations. In
particular, no product may be exported or re-exported into (or to a national or
resident of) any country to which the U.S. embargoes goods, or to anyone
on the U.S. Treasury Department?s list of Specially Designated Nationals or
the U.S. Commerce Department?s Table of Denial Orders. In addition, the
Licens ee (and subsequent user(s)) is/are responsi
ble for complying with any local laws in his jurisdiction which may impact his
right to import, export, or use the product.
15. MISCELLANEOUS. Failure of WorshipCenter Software to insist on strict performance
of any term or any condition of this contract will not operate as a waiver of
any subsequent default of failure of performance. No waiver of any term of
this contract will be valid unless in writing and acknowledged in writing or
electronically by both parties. WorshipCenter Software reserves the right to and may
update or change the product, or the markings, logos, information, or content
relating thereto at any time. If any portion of this contract is adjudged invalid,
disorganized, fragmentary, ambiguous, vague, or unenforceable by a court of
competent jurisdiction, the remaining portions will remain valid, enforceable,
and carried into effect.
16. COMPLETE AGREEMENT. This contract and the Privacy Policy of WorshipCenter Software,
which is hereby incorporated as if set forth fully herein, represents
the complete agreement between the parties concerning its subject matter.
WorshipCenter Software may modify this contract at any time by publication on worshipcenterpro.com.
The continued use of the product and/or worshipcenterpro.com, by the licensee (or the"User"), following notice of any such modification will be conclusively
deemed acceptance of the revised terms of this Contract. If any such
revision is unacceptable to the licensee (or the"User"), the said person (or
entity) will terminate use of the product and worshipcenterpro.com immediately.
17. GOVERNING LAW; ARBITRATION. This Contract has been made in
and will be construed and enforced in accordance with Texas law without
regard to conflict of law provisions, as applied to agreements entered into
and completely performed in Texas, and by applicable federal and
international law. Should a dispute arise from this contract which cannot be
resolved by the parties in good faith negotiations, both parties agree to
submit such dispute to arbitration in San Antonio, Texas, before a single arbitrator
using the Commercial Rules of the American Arbitration Association. To the
extent that it may otherwise be applicable, the parties hereby expressly agree
to exclude from the operation of this Contract the United Nations Convention
on Contracts for the International Sale of Goods, concluded at Vienna, on
April 11th 1980, as amended and as may be amended further from time to
time. |
