This Software Licensing Agreement (the "Agreement") is a legal agreement between Sugar Pill Studios, LLC ("Sugar Pill Studios"), and You the end-user ("You"). By installing, running, or distributing Tsunami Sweeper, which includes all executable, data, and documentation files (the "Software"), You agree to be bound by the terms of the Agreement.
SUGAR PILL STUDIOS END USER LICENSE AGREEMENT FOR TSUNAMI SWEEPER SOFTWARE
1. GRANT OF LICENSE.
Sugar Pill Studios grants You a nontransferable right to install and to use one (1) copy of this Software on a single computer in accordance with the terms of this Agreement. This license is for personal use that is not in violation of any applicable laws. This Software is licensed, not sold. Your license confers no title or ownership in the Software.
2.1 TRIAL VERSION LICENSE RESTRICTIONS.
This license does not permit use of this Software's free Trial Version in any of the following manners without the prior written consent of Sugar Pill Studios:
A) You may not reverse engineer, decompile, or decode this Software in any way, in whole or in part.
B) You may not separate or remove components from, modify, translate, or create derivative works based upon this Software.
C) You may not sublicense, sell, or commercially exploit this Software in any way.
D) You may not ship, transfer, export, or re-export this Software in violation of the U.S. Export Administration Act.
2.2 FULL VERSION LICENSE RESTRICTIONS.
This license does not permit use of this Software's paid Full Version in any of the following manners without the prior written consent of Sugar Pill Studios:
A) You may not reverse engineer, decompile, or decode this Software in any way, in whole or in part.
B) You may not separate or remove components from, modify, translate, or create derivative works based upon this Software. Custom Levels files (*.tsl) created with the Full Version's Save Custom Level feature are not considered derivative works, and may be distributed freely. You may not distribute this Software with your Custom Level files (*.tsl).
C) You may not post or transfer reproductions of this Software, lend, sublicense, sell, publicly display, or commercially exploit this Software in any way.
D) You may not ship, transfer, export, or re-export this Software in violation of the U.S. Export Administration Act.
3. TERMINATION.
This Agreement is effective until terminated. You may terminate this Agreement at any time by destroying all copies of this Software in your possession. Failure to comply with the terms of this agreement will automatically and immediately result in its termination. All copies of this Software in your possession must be destroyed upon the termination of this Agreement.
4. COPYRIGHT.
This Software and all its contained copyrights are owned by Sugar Pill Studios. United States copyright laws, and international treaties protect them. You must treat the Software like any other copyrighted material, except in that you are allowed to maintain one (1) copy of this Software exclusively for back-up purposes. Any other reproductions in whole or in part of this Software are not permitted without the prior written consent of Sugar Pill Studios.
5. NO WARRANTY.
This software is provided "AS-IS" without warranties of any kind, expressed or implied. This includes without limitation, the implied warranties of merchantability and fitness for a particular purpose. Sugar Pill Studios does not warrant that this Software will operate to your requirements, uninterrupted, or free of errors. Some jurisdictions do not allow the exclusion of implied warranties, so the above may not apply to You.
6. LIMITATION OF LIABILITY.
To the extent not prohibited by law, Sugar Pill Studios shall not be liable in any way for loss or damages of any kind resulting from use of the Software. This includes, but is not limited to loss of goodwill, revenue, profit, data, work stoppage, computer malfunction, or for special, indirect, consequential, punitive, incidental, or any and all other commercial damages, even those arising from negligence, tort, strict liability, breach of contract or warranty, even after being advised of the possibility of such damages, or even if such damages are foreseeable.
7. RESTRICTED RIGHTS.
This Software is provided with "Restricted Rights". Use, duplication, or disclosure by the Government is subject to restrictions as set forth in FAR 52.227-14 and DFAR 252.227-7013, et seq. Use of this Software by the Government constitutes acknowledgement of Sugar Pill Studios proprietary rights to it.
8. MISCELLANEOUS.
This Agreement contains the only and complete terms by which Sugar Pill Studios permits the installing, running, or distributing of this Software. This Agreement will be governed by the laws of the State of Minnesota, and all actions arising under, relating to, or connected with this Software and its use will be filed to the appropriate court in Minnesota. The United Nations Convention on Contracts for the International Sale of Goods is specifically disclaimed. If a court of competent jurisdiction deems any provision of this Agreement invalid, or void, all other provisions will continue without being impaired or invalidated in any way. All rights not expressly granted in this Agreement are reserved by Sugar Pill Studios.
You hereby acknowledge that you have read, and understand the content of this license Agreement. Through the act of installing, running, or distributing this Software, you also agree to be bound by of terms and provisions herein. |
