IMPORTANT-- READ BEFORE COPYING, INSTALLING OR USING.
Do not copy, install, or use Tarma Installer ("Product") provided under this license agreement ("Agreement"), until you have carefully read the following terms and conditions.
By copying, installing, or otherwise using the Product, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not copy, install, or use the Product.
Tarma Installer License Agreement
EVALUATION LICENSE: You may use the Product at no cost for a single period of thirty (30) days ("Evaluation Period") for evaluation purposes only. During that period, the License Restrictions apply with the following additional restrictions: You (i) may not redistribute any part of the Product, not even those parts listed as Redistributables below, with the sole exception of the Shareware Package, (ii) may not reset, remove, or otherwise circumvent the Evaluation Period or other conditions of the Evaluation License, (iii) will after expiration of the Expiration Period either enter into a full license agreement for the Product, or cease using the Product and return or destroy all copies of the Product that you have. All other terms and conditions set out below also apply, with the exception of the Replacement policy.
LICENSE GRANT: Subject to the License Restrictions below, Tarma Software Research Pty Ltd ("Tarma") grants you the following non-exclusive, non-assignable, royalty-free copyright licenses in the Product below, which are identified specifically in License Definitions, and in any updates thereto that Tarma might offer in the future.
LICENSE DEFINITIONS: The Product is defined as consisting of Developer Tools and Redistributables. Furthermore, the Product may be provided in a Shareware Package.
Developer Tools - Include developer documentation and development utilities, and their support materials. You may use them internally for the purposes of using the Product as licensed hereunder, but you may not redistribute them.
Redistributables - Include the Setup program(s) as part of Setup packages created by the Product. You may not redistribute any other parts of the Product, nor may you redistribute the Setup program(s) separately.
Shareware Package - Refers to a distribution of the Product as provided by Tarma and expressly designated as such. You may redistribute the Shareware Package subject to the following restrictions: You (i) must distribute the Shareware Package in its entirety, (ii) may not modify, add to, or in any other way change the contents of the Shareware Package, (iii) may not charge money or any other compensation for either the Product, its media, or the service of providing it, (iv) may not misrepresent the origin, authorship, or intellectual property rights of the Product.
LICENSE RESTRICTIONS: You may not reverse-assemble, reverse-compile, or otherwise reverse-engineer any of the Product components provided solely in binary form.
Distribution of the Redistributables and the Shareware Package is also subject to the following restrictions: You (i) shall be solely responsible to your customers for any update or support obligation or other liability which may arise from the distribution, (ii) do not make any statement that your product is "certified", or that its performance is guaranteed, by Tarma, (iii) do not use Tarma's name or trademarks to market your product without written permission from Tarma, (iv) shall prohibit any actions that are disallowed by the License Restrictions, (v) shall not publish reviews of the Product designated as beta without written permission from Tarma, and (vi) shall indemnify, hold harmless, and defend Tarma and its suppliers from and against any claims or lawsuits, including attorney's fees, that arise or result from your distribution of any product.
COPYRIGHT: Title to the Product and all copies thereof remain with Tarma or its suppliers. The Product is copyrighted and protected by the Australian copyright laws and international treaty provisions. You will not remove any copyright notices from the Product. You agree to prevent unauthorized copying of the Product. Except as expressly provided herein, Tarma does not grant any express or implied right to you under Tarma patents, copyrights, trademarks, or trade secret information.
REPLACEMENTS: The Product is provided "AS IS" without warranty of any kind. If the media on which the Product is furnished are found to be defective in material or workmanship under normal use for a period of thirty (30) days from the date of receipt, Tarma's entire liability and your exclusive remedy shall be the replacement of the media. This offer is void if the media defect results from accident, abuse, or misapplication.
LIMITATION OF LIABILITY: THE ABOVE REPLACEMENT PROVISION IS THE ONLY WARRANTY OF ANY KIND. TARMA OFFERS NO OTHER WARRANTY, EITHER EXPRESS OR IMPLIED, INCLUDING THOSE OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD-PARTY INTELLECTUAL PROPERTY OR FITNESS FOR A PARTICULAR PURPOSE. NEITHER TARMA NOR ITS SUPPLIERS SHALL BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS) ARISING OUT OF THE USE OR THE INABILITY TO USE THE PRODUCT, EVEN IF TARMA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
TERMINATION OF THIS LICENSE: Tarma may terminate this license at any time if you are in breach of any of its terms and conditions. Upon termination, you will immediately destroy or return to Tarma all copies of the Product that you have.
APPLICABLE LAWS: Any claim arising under or relating to this Agreement shall be governed by the laws of the state of Victoria or the federal laws of Australia, without regard to principles of conflict of laws. You may not export the Product in violation of applicable export laws.
