| SpamChoke Distribution Agreement. This is a Legal Agreement between you, the distributor, and Proland Software. Through this Distribution Agreement, Proland Software grants you permission to distribute the antispam software hereinafter referred to as SpamChoke. You can distribute SpamChoke to computer users using any method without modifying the executable and the documentation files supplied to you. The method of distribution could be direct download from your website or through any media like CD-ROM, etc. This agreement is only to distribute SpamChoke without any charges to the user. The software should be distributed free of cost. You cannot charge any distribution or usage cost to the user. SpamChoke contains valuable trade secrets embodying the creative efforts, copyrighted and copyrightable materials, confidential ideas, information and expressions. You may not replicate, modify, translate, reverse engineer, de-compile, disassemble or use the software or parts of it to create or use in any other product. All rights arising and accruing from ownership of the said software SpamChoke, are vested with Proland Software, exclusively. These include title, intellectual property rights and any other right not specified herein, but shall be deemed to accrue from ownership of the software. |

| SpamChoke Licence Agreement. By installing this software, you are confirming that you have read the licence agreement and that you accept all provisions and covenants contained therein in toto, which includes the Software Licence, Limited Warranty and Liability and their Acknowledgement thereof. Terms of this agreement This is a Legal Agreement between you, the end-user, and Proland Software. Through this License Agreement, Proland Software grants you a non-exclusive paid up License to use the antispam software herein after referred to as SpamChoke. The software is supplied in Directly Executable forms to load them straight into the computer, ready for use. SpamChoke contains valuable trade secrets embodying the creative efforts, copyrighted and copyrightable materials, confidential ideas, information and expressions. No part of the software or documentation may be reproduced wholly or in part, either on a single machine or on interconnected systems, save for the purposes of back up. Unless otherwise stated in the licence issued by us, SpamChoke is to be used on a single machine at any given time. Concurrent use of the software on multiple number machines is not permitted unless expressly stated in the licence issued to you. You may not replicate, modify, translate, reverse engineer, decompile, disassemble or use the software or parts of it to create or use in any other product. SpamChoke is supplied on an"AS IS"basis without warranty of any kind, expressed or implied including without limitation, implied warranties or fitness for a particular purpose. Neither Proland Software nor it?s agents shall be held responsible for loss, damage, cost or expense arising out the use of SpamChoke. Neither Proland Software, nor any other authorized individual or organization or agent involved in the design, manufacture and distribution of SpamChoke shall be held liable for any direct, incidental or consequential damages such as, but not limited to, loss of anticipated profits or benefits, resulting from the use of the said software. In no event will Proland Software be liable for any damages in excess of the amount received by you for the licence to the use of SpamChoke Transferring possession of any copy of SpamChoke to another party will automatically terminate your Licence. The licence is effective until terminated. Contravention of any of the terms set out in this agreement would result in the licence being revoked, automatically. All rights arising and accruing from ownership of the said software SpamChoke, are vested with Proland Software, exclusively. These include title, intellectual property rights and any other right not specified herein, but shall be deemed to accrue from ownership of the software. You accept that you have read the agreement, understood and agreed to all the conditions laid out therein. You further agree that it is a complete and exclusive statement of the agreement between us, and supersedes any other offer, proposal or prior agreement, oral or written and by any other means of communication between us, relating to the subject matter of this agreement. |
