SOLO EXPLORER
LICENCE AGREEMENT
BEFORE YOU PURCHASE AND/OR USE THIS SOFTWARE, CAREFULLY READ THE TERMS AND CONDITIONS OF THIS AGREEMENT. BY USING THIS SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE.
This license agreement constitutes a legal agreement ("License Agreement") between you (either as an individual or a single entity) and Gailius Raskinis (the"Author"or the"Licensor") for the software product ("Software") identified above, including any software, media, and accompanying on-line or printed documentation.
LICENSE GRANT
Upon your acceptance of the terms and conditions of the License Agreement, the Author grants you the right to use the Software in the manner provided below.
You may install and use a copy of the Software on one computer. If you want to use the Software on more than one computer at a time, or if you want to network the Software, you must obtain separate licenses from the Author.
You may make one backup copy of the Software, provided your backup copy is not installed or used on any computer.
PROHIBITIONS AND RESTRICTIONS
You understand and agree as follows:
You may not transfer the Software unless you permanently transfer the entire Software (including all components and archival copies, if any), and the person to whom the Software is transferred is informed of and agrees to the terms and conditions of this License Agreement.
Except as provided in the License Agreement, you may not transfer, rent, lease, lend, copy, modify, translate, sublicense, time-share or electronically transmit or receive the Software, media or documentation.
You acknowledge that the Software in source code form remains a confidential trade secret of the Author and therefore you agree not to modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software. You may not incorporate the Software in whole or in part in any other product or create derivative works based on all or any part of it.
PROPRIETARY RIGHTS
You acknowledge and agree that the Author owns all title, ownership rights, and intellectual property rights in the Software. You agree that you shall take no action that might jeopardize, limit, or interfere in any way with the Author's ownership or other rights regarding the Software. You acknowledge that the Software is protected by copyright and other intellectual property laws, and by international treaties.
DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY
THE SOFTWARE IS PROVIDED ON AN"AS IS"BASIS. THE AUTHOR DOES NOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE, OR THAT ANY DEFECT IN THE SOFTWARE WILL BE CORRECTED. THE AUTHOR EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THIS LICENSE AGREEMENT, AND NO USE OF THE LICENSED SOFTWARE IS AUTHORIZED HEREUNDER EXCEPT UNDER THIS DISCLAIMER. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT IN NO EVENT SHALL THE AUTHOR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS LICENCE AGREEMENT, EVEN IF THE AUTHOR HAS BEEN ADVISED OF THE POSSIBILITY THEREOF, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.
TERMINATION
This License Agreement will terminate immediately if you fail to comply with any of the terms and conditions of it. Upon termination, you will be required promptly to return to the Author or to destroy all copies of the Software covered by this License Agreement. You may also terminate this License Agreement at any time by destroying the Software and all copies thereof.
GENERAL PROVISIONS
If any part of this License Agreement is found void and unenforceable for any reason, it will not affect the validity of the balance of the License Agreement, which shall remain valid and enforceable according to its terms. This License Agreement may only be modified by a writing signed by the Author.
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS LICENSE AGREEMENT, UNDERSTAND IT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE LICENSE AGREEMENT BETWEEN YOU AND THE AUTHOR WHICH SUPERSEDES ANY PROPOSALS, OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND THE AUTHOR RELATING TO THE SUBJECT MATTER OF THIS LICENSE AGREEMENT. |
