| Smart Bid Manager is a must tool for Overture (former goto.com) advertisers. Overture offers well-known pay-per-click advertisement program. You select the search terms that are relevant to your site, and choose how much to pay when customers click on your listings. The higher you bid, the higher your site appears in the search results. Smart Bid Manager is a software tool which checks your bidding report automatically and warns you if your search term position has changed (for example because your competitor has overridden your bid). Smart Bid Manager will also warn you if your bid is not optimal (i.e., you're paying more than necessary). For instance, Advertiser A places a $0.10 bid for a given search term, Advertiser B places a $0.15 bid and your bid is $0.16 (so you're number one). Suppose that Advertiser B has gone. Now you can lower your bid to $0.11 and you'll still be number one. You can save $0.05 per every click! This way, you can save your money using Smart Bid Manager! The purchase of Smart Bid Manager may pay for itself within one to three months (exact term depending on your advertising budget). |

SMART BID MANAGER LICENSE AGREEMENT
This End-User License Agreement ("EULA") is a legal agreement between you,
either an individual or a single entity, ("LICENSEE") and LastBit Software
("LICENSOR").
The license agreement includes computer software and may include associated
media and online or electronic documentation ("SOFTWARE PRODUCT"). Please
read the following terms and conditions before installing the SOFTWARE PRODUCT.
By installing or using the SOFTWARE PRODUCT, you agree to be bound by the terms
of this EULA. If you do not agree to the terms of this EULA, do not install or
use the SOFTWARE PRODUCT.
This is not free software. Subject to the terms below, you are hereby licensed
by the LICENSOR to use this software for evaluation purposes without charge for
a period of 30 days. If you wish to use the SOFTWARE PRODUCT after the 30 days
evaluation period a fee will be charged, whereby you will receive a software
key to enable further use. Unregistered use of the SOFTWARE PRODUCT after the
30 days evaluation period is in violation of applicable copyright laws.
GRANT OF LICENSE.
This EULA grants you a non-exclusive non-transferable right for installation
and use of the SOFTWARE PRODUCT. You may use one copy of the software on only
one computer at a time. If you have multiple licenses of the software, you may
install the SOFTWARE PRODUCT on the same number of workstations. Installation
on a network server solely for distribution to licensed workstations does not
count as an installation. You, as the LICENSEE, must have a reasonable process
to assure that the number of workstations where the SOFTWARE PRODUCT is installed
does not exceed the number of licenses you have bought.
LIMITATION ON USE.
You may not rent, lease, lend, copy, modify, sub-license or time-share the
SOFTWARE PRODUCT. You may not reverse engineer, decompile or disassemble or
otherwise alter the SOFTWARE PRODUCT or its documentation. You may not use
a Registration Key Code issued to another user for use in conjunction with
the SOFTWARE PRODUCT.
SEPARATION OF COMPONENTS
The SOFTWARE PRODUCT is licensed as a single product. Its component parts may
not be separated for use on more than one computer or with other applications
unless expressly permitted in writing by the LICENSOR.
Termination
Without prejudice to any other rights, the LICENSOR may terminate this EULA
if the LICENSEE fails to comply with the terms and conditions of this EULA.
In such event, the LICENSEE must destroy all copies of the SOFTWARE PRODUCT
and all of its component parts.
OWNERSHIP.
You agree that the SOFTWARE PRODUCT belongs to the LICENSOR. This license
is not a sale of the original or any subsequent copy.
NO WARRANTIES.
LICENSOR DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING,
BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR
A PARTICULAR PURPOSE, WITH REGARD TO THE SOFTWARE PRODUCT.
IN NO EVENT SHALL THE LICENSOR OR RESELLERS BE LIABLE IN CONNECTION
WITH THIS AGREEMENT FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR
CONSEQUENTIAL DAMAGES INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA
OR USE, WHETHER IN AN ACTION FOR CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED
OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY ARISING OUT OF
THIS AGREEMENT SHALL IN NO EVENT EXCEED THE GREATER OF THE LICENSE FEES PAID
BY YOU HEREUNDER, OR U.S.$1. |
