ATTENTION: USE OF THE SOFTWARE IS SUBJECT TO THE 3d3.com Pty Ltd LICENSE TERMS SET FORTH BELOW. USING THE SOFTWARE INDICATES YOUR ACCEPTANCE OF THESE LICENSE TERMS. IF YOU DO NOT ACCEPT THESE LICENSE TERMS, YOU MUST RETURN THE UNUSED SOFTWARE FOR A FULL REFUND.
3d3.COM Pty Ltd SOFTWARE LICENSE TERMS
The following License Terms govern your use of the accompanying Software unless you have a separate written agreement with 3d3.com Pty Ltd. They apply to a person or an entity such as a company
License Grant
3d3.com Pty Ltd grants you a single user license to use one copy of the Software to build as many shops for yourself as you like, meaning specifically shops which are owned and maintained by the registered user who directly profits from the sale of products and services in the shop. No other person may make changes to your shops, not even with other software, unless this person is also a registered user of 3D3 software entitling him to do so. YOU MAY NOT BUILD SHOPS FOR OTHER PEOPLE OR COMPANIES with this license. To do this you will have to purchase a developer version of the Software.
"Use" means storing, loading, installing, executing or displaying the Software on one computer system. You may not modify the Software or disable any licensing or control features of the Software. If the Software is licensed for "concurrent use", you may not allow more than the maximum number of authorized users to Use the Software concurrently.
Ownership
The Software is owned and copyrighted by 3d3.com Pty Ltd (from now on referred to as 3d3.com) or its third party suppliers. Your license confers no title or ownership in the Software and is not a sale of any rights in the Software. 3d3.com's third party suppliers may protect their rights in the event of any violation of these License Terms.
Copies and Adaptations
You may only make copies or adaptations of the Software for archival purposes or when copying or adaptation is an essential step in the authorized Use of the Software. You must reproduce all copyright notices in the original Software on all copies or adaptations. You may not copy the Software onto any bulletin board or similar system.
No Disassembly or Decryption
You may not disassemble or decompile the Software unless 3d3.com's prior written consent is obtained. In some jurisdictions, 3d3.com's consent may not be required for disassembly or decompilation. Upon request, you will provide 3d3.com with reasonably detailed information regarding any disassembly or decompilation. You may not decrypt the Software unless decryption is a necessary part of the operation of the Software.
Transfer
Your license is not transferable.
Termination
3d3.com may terminate your license upon notice for failure to comply with any of these License Terms. Upon termination, you must immediately destroy the Software, together with all copies, adaptations and merged portions in any form.
Export Requirements
You may not export or re-export the Software or any copy or adaptation in violation of any applicable laws or regulations.
U.S. Government Restricted Rights
The Software and documentation have been developed entirely at private expense and are provided as "Commercial Computer Software" or "restricted computer software". They are delivered and licensed as "commercial computer software" as defined in DFARS 252.227-7013 (Oct 1988), DFARS 252.211-7015 (May 1991) or DFARS 252.227-7014 (Jun 1995), as a "commercial item" as defined in FAR 2.101 (a), or as "Restricted computer software" as defined in FAR 52.227-19 (Jun 1987) (or any equivalent agency regulation or contract clause), whichever is applicable. You have only those rights provided for such Software and Documentation by the applicable FAR or DFARS clause or the 3d3.com standard software agreement for the product.
Limited Warranty
3d3.com warrants that the Software will perform substantially in accordance with the accompanying written materials for a period of sixty (60) days from the date of receipt. 3d3.com's entire liability and your exclusive remedy under any warranty or legal theory shall be replacement of the Software or return of the price paid.
No other Warranties
3d3.com disclaims all other warranties, either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose, with respect to the Software, and the accompanying written materials. Except for the limited warranty provided above, the Software is provided as is.
Limited Mitigation of Remedies and Damages; Force Majeure
3d3.com shall not be responsible or liable with respect to any subject matter of this agreement or any attachment, product order, schedule or terms and conditions related thereto under any contract, negligence, strict liability or other theory: (a) for loss or inaccuracy of data or (except for return of amounts paid to 3d3.com therefore), cost of procurement of substitute goods, services or technology; (b) for any indirect, incidental or consequential damages including, but not limited to, loss of revenues and loss of profits, or (c) for any matter beyond its reasonable control.
Enhancements and additions
Any enhancements or additions for this software or for shops created with this software by any person, group or entity may only be distributed, used and offered with the express permission of 3D3.COM in writing. This applies to integrations with payment systems, backend systems or any other enhancements or additions to be used in combinations with shops generated with this software or with the software directly. All payment gateways, enhancements and additional services which have been integrated in the software by 3D3 and which are delivered as part of the Software have been approved by 3D3.COM and may be used.
Miscellaneous
This Agreement will be governed by the laws of the State of Victoria, Australia. If any provision of this Agreement shall be held illegal or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that this agreement shall otherwise remain in full force and effect, and enforceable.
The URLs of sites generated with this software may be forwarded to 3d3.com for promotional purposes and additional services. This function can be disabled. |
