What is Playa!TraX? What does it do?
Here is an example -- Playa!TraX is running idle in the system tray, not playing music, not doing anything. You launch a full screen game, Half-Life 2 for example, Playa!TraX on its own will immediately start playing your Half-Life 2 playlists and loads a configuration (which you define) that allows you to control the music (probably through a few keys on your keyboard) without having to see the player. You switch to another game, Madden NFL Football, once again Playa!TraX begins to play your Madden playlists, and loads an input configuration so you can control the player without having to see it, probably through a few gamepad buttons this time. Playa!TraX will do the same for any application or game you want. Playa!TraX is also a great everyday general use media player.

SOFTWARE DISTRIBUTION AGREEMENT FOR
SlimSlam Solutions Playa!TraX
This Software Distribution Agreement (hereinafter referred to as "AGREEMENT") is a legal AGREEMENT between you, and SlimSlam
Solutions (hereinafter referred to as "AUTHOR") for distributing the computer software program entitled Playa!TraX
hereinafter referred to as "SOFTWARE").
This AGREEMENT describes the terms and conditions by which AUTHOR will license other parties to distribute the SOFTWARE which
is intended solely for distribution as SHAREWARE. No use, distribution or reproduction of the SOFTWARE or copies of the
SOFTWARE is authorised except in compliance with the terms and conditions herein. Distribution of the SOFTWARE in accordance
with the provisions of this Software Licence Agreement is encouraged.
You should carefully read the following terms and conditions before distributing this SOFTWARE. Unless you have a different
licence AGREEMENT signed by AUTHOR, your use of this SOFTWARE indicated your acceptance of this licence AGREEMENT.
By copying or distributing this SOFTWARE, you agree to be bound by the terms and conditions of this AGREEMENT as well as
those of the "Software Licence Agreement".
GENERAL DEFINITIONS
As stated, the SOFTWARE is marketed as SHAREWARE.
Definition of Shareware
Shareware distribution gives users a chance to try software before buying it. If you try a Shareware program and continue
using it, you are required to register it (or purchase the Licensed version).
Copyright laws apply to both Shareware and retail software, and the copyright holder retains all rights, with a few specific
exceptions as stated below. Shareware authors are accomplished programmers, just like retail authors, and the programs are of
comparable quality. (In both cases, there are good programs and bad ones!) The main difference is in the method of
distribution. The author specifically grants the right to copy and distribute the software, either to all and sundry or to a
specific group. For example, some authors require written permission before a commercial disk vendor may copy their
Shareware.
Shareware is a distribution method, not a type of software. You should find software that suits your needs and pocketbook,
whether it's retail or Shareware. The Shareware system makes fitting your needs easier, because you can try before you buy.
And, because the overhead is lower, prices are lower also. Shareware has the ultimate money-back guarantee - if you do not
use the product, you do not pay for it.
GENERAL TERMS AND CONDITIONS
AUTHOR shall be credited as the owner of the SOFTWARE in all distribution of the SOFTWARE. AUTHOR is the exclusive world-wide
licenser of the SOFTWARE, and the copyrights and other proprietary rights therein. The SOFTWARE is intended solely for
distribution as SHAREWARE (i.e., try-before-you-buy software); it is not public domain or free software or freeware.
The SOFTWARE shall be identified by name and shall be identified as SHAREWARE in all distribution.
You may copy and/or distribute the SOFTWARE only in its original, unaltered form, with all files included unmodified, and
without making any additions, modifications or deletions except as provided in this paragraph. You may not modify the
SOFTWARE or any of its files, and the SOFTWARE must be distributed as a complete package. You may not change, delete, merge
or rename any files or elements of the SOFTWARE in any manner, and you may not add any files or new elements (except for
installation routines which do not interfere with the proper operation or installation of the SOFTWARE).
Since the SOFTWARE is intended for distribution only as SHAREWARE, you shall not charge any fee or other compensation for the
SOFTWARE, although you may charge a distribution fee for costs associated with distributing the SOFTWARE. You are permitted,
and encouraged, to make and distribute copies of the SOFTWARE to your friends, family members and co-workers for your and
their private non-commercial use, in compliance with the terms and conditions hereof.
You recognise that your right to distribute the SOFTWARE is nonexclusive and that AUTHOR can terminate the license granted to
you at any time for any reason upon notice. AUTHOR reserves the right to withhold or withdraw permission to distribute the
SOFTWARE from anyone at any time for any reason. The other provisions hereof shall survive any expiration or termination of
this AGREEMENT.
You shall take reasonable steps to ensure that the SOFTWARE and any other software, documentation and other materials
distributed with the SOFTWARE are free from viruses.
You may not use, copy, modify, distribute or transfer the SOFTWARE or any element thereof in whole or in part, except as
expressly provided for herein.
You may not rent or lease the SOFTWARE to anyone.
AUTHOR reserves the right to update the contents of the SOFTWARE and its associated files, documentation and/or other
elements, at its discretion from time to time, without the consent of, or any obligation to, any licensed users or
distributors.
You will hold AUTHOR, family members, distributors, licensees, sub-licensees and lawyers harmless from and against any and
all claims, actions, damages, losses, liabilities, costs and expenses arising directly or indirectly from your acts and
omissions in copying and distributing the SOFTWARE.
If any provision of this AGREEMENT is held to be void, invalid or unenforceable, it will not affect the validity of the
balance of this AGREEMENT, which shall remain valid and enforceable according to its terms and conditions.
This agreement shall be governed by the laws of the United Kingdom.
SPECIAL TERMS AND CONDITIONS
Distribution by BBS, on-line Services, FTP, FSP, News, WWW, Satellite, Other File Transfer Protocols: The SOFTWARE and
associated files may be copied, used and posted without charge and permission as long as the "General Terms and Conditions"
set forth above are complied with.
Distribution on Floppy Disk / CD-ROM / DVD / Other Disk Types in a non-retail environment: The SOFTWARE and associated files
may be copied, and used and posted without charge and permission as long as the "General Terms and Conditions" set forth
above are complied with.
Distribution on Floppy Disk / CD-ROM / DVD / Other Disk Types by Anonymous access FTP/WWW Shareware Archives: (e.g., WinSite,
SimTel, Windows95, etc.) The SOFTWARE and associated files may be copied, used and posted without charge and permission as
long as the "General Terms and Conditions" set forth above are complied with.
Distribution on Magazine Companion Disk / CD-ROM / Other Disk Types: The program and associated files may be copied, used and
posted without charge and permission as long as the "General Terms and Conditions" set forth above are complied with. I would
greatly appreciate if you would inform me about any review(s) you write about the SOFTWARE. Thanks.
Distribution in a Retail Environment, Book Companion Disk / CD-ROM / Other Disk Types (Book): You may not distribute the
program without obtaining explicit permission from AUTHOR.
Other (e.g. Retail not covered above) CD-ROM Shareware Distribution: You may not distribute the program without obtaining
explicit permission from AUTHOR.
Internet Providers Disk / CD-ROM / Demo Disks / Connection Kits / etc.: You may distribute this SOFTWARE on your disk/CD only
as bundled shareware with other programs without charge and permission as long as the "General Terms and Conditions" set
forth above are complied with. If you intent to provide the program for your own diagnostic purposes then you may not
distribute the program without obtaining explicit permission from the AUTHOR.
Software/Hardware Manufacturers
&
Suppliers: You may not distribute the program pre-installed or otherwise on the machines
you manufacture/distribute/etc. or bundled with your own products without obtaining explicit permission from AUTHOR.

BY DISTRIBUTING THE SOFTWARE YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT AND YOU AGREE TO BE BOUND BY
THIS AGREEMENT'S TERMS AND CONDITIONS. YOU ALSO AGREE THAT THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE

IMPORTANT-READ CAREFULLY: This End-User License Agreement (hereinafter the "EULA") is a legal agreement between you (either an individual or a single entity) and SlimSlam Solutions for the Playa!TraX software, which includes any associated software components and any "online" or electronic documentation (hereinafter the "SOFTWARE"). By installing, copying, or otherwise using the SOFTWARE, you agree to be bound by the terms of this EULA.
IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE THIS SOFTWARE. PROMPTLY REMOVE IT FROM YOUR COMPUTER.
1. OWNERSHIP OF SOFTWARE.
The SOFTWARE is licensed, not sold.
SlimSlam Solutions retains the copyright, title and ownership of the SOFTWARE and the written materials regardless of the form or media in or on which the original and other copies may exist.
2. GRANT OF LICENSE.
(a) Evaluation Copy. You may use the SOFTWARE without charge on an evaluation basis for fourteen (14) days from the day that you install the SOFTWARE. You must pay the license fee and register your copy to continue to use the SOFTWARE after the fourteen (14) days. This EULA terminates automatically without notice from SlimSlam Solutions upon the expiration of the evaluation term or if you fail to comply with any provision of this EULA. Upon termination you shall remove the SOFTWARE from your computer(s).
(b) Redistribution of Evaluation Copy. If you are using SOFTWARE on an evaluation basis you may make copies of the evaluation SOFTWARE as you wish; give exact copies of the original evaluation SOFTWARE to anyone; and distribute the evaluation SOFTWARE in its unmodified form via electronic means (Internet, BBS's, Shareware distribution libraries, CD-ROMs, etc.). You may not charge any fee for the copy or use of the evaluation SOFTWARE itself, but you may charge a distribution fee that is reasonably related to any cost you incur distributing the evaluation SOFTWARE (e.g. packaging). You must not represent in any way that you are selling the software itself. Your distribution of the evaluation SOFTWARE will not entitle you to any compensation from SlimSlam Solutions. You must distribute a copy of this EULA with any copy of the Software and anyone to whom you distribute the Software is subject to this EULA.
(c) Registered Copy. After you have purchased the license for SOFTWARE, and have received the file or license key enabling the registered copy, you are licensed to copy the SOFTWARE only into the memory of the number of computers corresponding to the number of licenses purchased. The primary user of the computer on which each licensed copy of the SOFTWARE is installed may make a second copy for his or her exclusive use on a portable computer. Under no other circumstances may the SOFTWARE be operated at the same time on more than the number of computers for which you have paid a separate license fee. You may not duplicate the Software in whole or in part, except that you may make one copy of the SOFTWARE for backup or archival purposes. You may terminate this license at any time by destroying the original and all copies of the SOFTWARE in whatever form. You may permanently transfer all of your rights under this EULA provided you transfer all copies of the SOFTWARE (including copies of all prior versions if the SOFTWARE is an upgrade) and retain none, and the recipient agrees to the terms of this EULA.
3. RESTRICTIONS.
You may not reverse engineer, decompile, or disassemble the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. You may not rent, lease, or lend the SOFTWARE. You may permanently transfer all of your rights under this EULA, provided the recipient agrees to the terms of this EULA. You may not use the SOFTWARE to perform any unauthorized transfer of information (e.g. transfer of files in violation of a copyright) or for any illegal purpose.
4. SUPPORT SERVICES.
SlimSlam Solutions may provide you with support services related to the SOFTWARE. Use of Support Services is governed by the SlimSlam Solutions polices and programs described in online documentation, and/or other SlimSlam Solutions-provided materials, as they may be modified from time to time. Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE and subject to the terms and conditions of this EULA. With respect to technical information you provide to SlimSlam Solutions as part of the Support Services, SlimSlam Solutions may use such information for its business purposes, including for product support and development. SlimSlam Solutions will not utilize such technical information in a form that personally identifies you.
5. TERMINATION.
Without prejudice to any other rights, SlimSlam Solutions may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE.
6. COPYRIGHT.
The SOFTWARE is protected by Canadian copyright law and international treaty provisions. You acknowledge that no title to the intellectual property in the SOFTWARE is transferred to you. You further acknowledge that title and full ownership rights to the SOFTWARE will remain the exclusive property of SlimSlam Solutions and you will not acquire any rights to the SOFTWARE except as expressly set forth in this license. You agree that any copies of the SOFTWARE will contain the same proprietary notices which appear on and in the SOFTWARE.
7. NO WARRANTIES.
SlimSlam Solutions expressly disclaims any warranty for the SOFTWARE. THE SOFTWARE AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU.
8. LIMITATION OF LIABILITY.
IN NO EVENT SHALL SlimSlam Solutions OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY, PERFORMANCE, OR USE OF THE SOFTWARE, EVEN IF SlimSlam Solutions HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, SlimSlam Solutions'S LIABILITY FOR ANY CLAIM, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY OF LIABILITY WILL NOT EXCEED THE GREATER OF U.S.$1.00 OR LICENSE FEE PAID BY YOU.
Should any other warranties be found to exist, such warranties shall be limited in duration to ninety (90) days following the date of delivery to you. In no event will SlimSlam Solutions's liability for any damages to you or any other person exceed the amount paid for the license to use the SOFTWARE.

BY USING the Playa!TraX software, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU ALSO AGREE THAT THE LIMITED WARRANTY IS THE COMPLETE AND EXCLUSIVE STATEMENT OF AGREEMENT BETWEEN THE PARTIES AND SUPERSEDES ALL PROPOSALS OR PRIOR AGREEMENTS, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN THE PARTIES RELATING TO THE SUBJECT MATTER OF THE LIMITED WARRANTY.
