END-USER LICENSE AGREEMENT
PC Experts - Instant Quote 2000, Instant Quote 2000 Professional
This End-User License Agreement is a legal agreement between you, either an individual or a single entity, and Andrew R. Colonna DBA PC Experts. By installing, copying, or otherwise using the above product referred to herein as the Software, you agree to be bound by the terms of this agreement.
Clicking"I AGREE"or installing or using the Software indicates your consent to be bound by all the terms and conditions of this agreement. If you do not agree to the terms of this agreement, promptly request a full refund from PC Experts.
1. GRANT OF LICENSE
The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold. Any rights not explicitly granted under this agreement are hereby reserved. Provided you have paid all applicable fees, this agreement grants you the following personal, non-exclusive, non-transferable rights:
(a) You may use the Software only for your own internal use.
(b) You may use the Software only on a single computer, unless additional licenses are purchased. Each separate person or seat requires an additional network license. Additional locations require 1 full license for the first seat or computer, then addtional network licenses for each addtional seat.
(c) You may not copy, reproduce, or distribute the Software to any third party unless a distribution agreement is negotiated and in effect.
(d) You understand that PC Experts reserves the right to change Software upgrade policy, features, functionality and sale price at any time.
2. WARRANTY, REMEDY AND LIMITATIONS
(a) PC Experts warrants that the Software will perform in substantial accordance with its stated functionality for ninety (90) days following your receipt of the Software.
(b) PC Experts entire liability and your exclusive remedy for any claim you may have against PC Experts shall be, at PC Experts option, (i) return of amounts paid for the applicable Software; or (ii) repair or replacement of Software which does not meet the above limited warranty; provided you return the Software to PC Experts.
(c) Except as provided above, the Software is provided"as is"and without warranties, express or implied, including the implied warranties of merchantability or fitness for a particular purpose. Customer assumes all risks as to selection, quality, installation, results and performance. PC Experts does not warrant that the Software will meet Customer's requirements or that the operation of the Software will be uninterrupted or error free.
(d) PC Experts shall not be liable for any special, incidental, indirect, or consequential damages whatsoever (including without limitation loss of business or profits, business interruption or delay, loss or inability to use data), even if PC Experts has been advised of the possibility of such damages.
(e) Some states do not allow certain warranty limitations, so the restrictions of this Section 2 will apply only to the full extent permitted by applicable law.
3. TERMINATION
The license will terminate automatically if Customer fails to comply with the limitations described herein. On termination, Customer must destroy all copies of the Software, including documentation. Otherwise, this agreement shall remain in force until terminated. Customer may terminate this agreement at any time by destroying all copies of the Software and providing notice thereof to PC Experts.
4. GENERAL
This agreement shall be governed by and construed under the substantive laws of the State of Missouri, United States of America, without regard to choice of law provisions. If any provision of this agreemnt is held to be unenforcable, the enforceability of the remaining provisions hall in no way be affected or impaired thereby. |
