LICENSE AGREEMENT FOR:
N2 Creator Electronic Software License Agreement
N2 Player Runtime Software License
&
Distribution Agreement.
BY ACCEPTING THE LICENSE AGREEMENT TERMS AND CONDITIONS BELOW YOU AGREE TO BE BOUND BY ALL CLAUSES HEREIN. A MATERIAL BREACH OF ANY CLAUSE AUTOMATICALLY TERMINATES THIS LICENSE AGREEMENT WITH ALTISCAPE AND VOIDS ANY AND ALL WARRANTIES ASSOCIATED WITH THE N2 CREATOR
&
N2 PLAYER. IF A MATERIAL BREACH OCCURS, THE LICENSEE MUST IMMEDIATELY DISCONTINUE ITS CONTENT UPDATES AND ALL FORMS OF DISTRIBUTION OF THE N2 SOFTWARE.
1. Definitions.
a)"Bundle"means the combination of the N2 Player with the Licensee's"Content Files"for distribution to end-users and pursuant to this Agreement.
b)"Content Files"are computer media files developed or distributed by Licensee, to be used and played by the N2 Player. If the Licensee does not solely own the Content Files, they must be authorized or licensed from the content owner for distribution by the Licensee.
c)"Disk Media"means the computer media that the N2 is distributed through- either DVD, CD-ROM or Diskette.
d)"N2 Creator"is ALTISCAPE's proprietary authoring software for the N2 Player. The software is owned solely by ALTISCAPE, and is only licensed to you the Licensee. The software contains proprietary technology for creating, publishing, and broadcasting presentations, which enables you, the licensee to create presentations that download the Content Files over the Internet by the N2 Player. It also includes any upgrade, update or enhancement that ALTISCAPE may provide at its sole discretion to Licensee during the Term of the License Agreement.
e)"N2 Player"means ALTISCAPE's proprietary software, which contains proprietary multimedia technology, which enables an End-User to playback audio, video, and other media files downloaded over the Internet on the End-User's personal computer, or distributed on Disk Media by the Licensee. It also includes any upgrade, update or enhancement that ALTISCAPE may provide at its sole discretion to Licensee during the Term of the License Agreement.
f)"End-User"means a user of the N2 Player distributed directly from Licensee or through Licensee's channels for End-Users use, but not for resale or further distribution.
g)"End-User License Agreement"means the agreement between ALTISCAPE and any End User who installs the your presentation material, granting the End-User the right to use the N2 Player. Solely ALTISCAPE, and not you, the Licensee will grant the software license to the End-User. The End-User license grant is incorporated into the install procedure of N2Setup.exe, although you can include your own license agreement with your Content Files.
2. Grant of License.
ALTISCAPE hereby grants the Licensee a non-exclusive, non-transferable license to create bundled presentations with N2 Creator software and reproduce, market, and distribute the N2 Player software runtime with your presentation. You hereby agree to the following conditions:
a) Licensee may only distribute the N2 Player as part of Bundle with the Licensee's Content Files and Content Updates, and the N2 shall only be licensed and not sold to end-users. ALTISCAPE acknowledges that the Licensee may charge for the Bundle, provided that the Licensee shall sell the Bundle at the same (or lower) fee at which it licenses any reasonably equivalent bundle which does not include the N2. Licensee can distribute the N2 software to End-Users electronically, via download from the Internet or on Disk Media.
b) Licensee may not distribute, license, sub-license, offer for sale, or sell the N2 Player software and its companion program - the N2 Creator software, to other resellers or original equipment manufacturers.
c) Licensee agrees they will use N2 Creator software only to build presentations with, and that they will not attempt to create or deliver to market a competing software product(s). Under this clause, you cannot copy N2's capabilities, reverse engineer, add to its capabilities, or modify it capabilities, or transfer ownership of a copied version of N2 Creator to another entity. You, the licensee, are subject to court awarded damages - both monetary and punitive if you violate this clause.
d) Licensee is expressly prohibited from: (i) modifying the N2 Player in any way; (ii) marketing or distributing the N2 Player other than as part of a Bundle with its own and/or partners content; or (iii) distributing the N2 Player without Licensee's Content Files; or (iv) distributing a N2 Player presentation without a valid N2 Publishing Code and/or an N2 Project Code.
3. Reservation of Rights.
a) Proprietary Rights. Title to and ownership of all copies of the N2, whether in machine-readable or printed form, are the exclusive property of ALTISCAPE and its suppliers. The N2 software is protected by United States copyright laws and International copyright treaties. All rights not specifically granted herein to Licensee are reserved by ALTISCAPE.
b) No Reverse Engineering. Except as expressly provided herein, Licensee shall not copy, modify, reproduce, display, decompile, reverse engineer, store, translate, sell, lease or otherwise transfer, distribute or use any of the N2, in whole or in part, without ALTISCAPE's prior written consent.
4. Altiscape Indemnification.
In the event ALTISCAPE receives information concerning an intellectual property infringement that relates to the Licensee's Content Files, the Licensee agrees to hold harmless, indemnify and defend ALTISCAPE and its employees, suppliers, contractors and agents from and against any losses, damages, costs and expenses (including attorney fees and costs) arising out of, or relating to any claims arising out of Licensee's continued use of the N2 Player with Content Files that the Licensee is unauthorized to distribute, after a written or electronic notice from ALTISCAPE that Licensee should cease its use of the N2 Player content due to a third party infringement claim.
Under this indemnification clause, any issue arising related to the licensee's distribution of pirated content, Altiscape retains the right to turn off any new content downloads to the offending presentation without any refund due to licensee.
5. Testing N2 Player with Content Files.
a) Prior to distributing the Bundle, Licensee shall test the Bundle to ensure that the N2 Player performs satisfactorily with the licensee's digital media. In addition, Licensee must test and configure the bundle to operate with Internet browser software (e.g., Microsoft Internet Explorer, Netscape Navigator, Netscape Communicator
&
the N2 Browser). Licensee shall immediately inform ALTISCAPE if the N2 Player does not comply. By copying and distributing the Bundle, Licensee is representing and warranting that the Bundle:
1)is ready for release for general distribution to end-users.
2)has been extensively tested for bugs or errors.
3)has been fixed to correct any errors affecting its functionality which have been detected by the Licensee or its end-users.
4)is subject to ongoing support, error detection, and correction
5)complies in all respects with this Section 4(a). Licensee shall retest the Bundle when content updates are distributed to end-users.
b)ALTISCAPE shall have the right, but not the obligation, to test Licensee Bundles for compliance with Section 5(a). If a Bundle fails to satisfy testing requirements, ALTISCAPE will specify the reasons for the failure and corrective measures. Licensee shall use all reasonable efforts to correct any error or failure immediately. Licensee shall promptly re-submit the corrected Bundle to ALTISCAPE for re-testing.
6. N2 Publishing Codes
&
Costs
An N2 Publishing Code must be purchased from Altiscape.com before you attempt to Broadcast or publish your N2 Presentation. The cost of each Publishing Code is determined by:
a) the number of Content Providers in your presentation.
b) the number of people you want to download new content to in 10,000 computer installation increments.
7. Product Updates.
a) N2 Player Updates. ALTISCAPE may elect to make available during the term of this Agreement a software update to the N2. ALTISCAPE shall use best efforts to provide Licensee with at least thirty (30) days' notice of the availability of any such update. When the update is received from ALTISCAPE, Licensee shall use its best efforts to immediately replace the N2 setup executable file at the Licensee's website with the updated software.
b) Exhaustion of Disk Media Inventory. Upon Licensee notification by ALTISCAPE of any update to the N2, Licensee shall stop reproducing and distributing any Bundle not integrated with the most current N2 update. Licensee has one year from ALTISCAPE's notification date to exhaust its entire existing inventory it has on Disk Media.
c) N2 Software Updates. Nothing in this Agreement shall limit either ALTISCAPE's or its supplier's right to change the functionality or pricing of the N2 at any time. ALTISCAPE's and its suppliers' exercise of such rights shall not be grounds for termination of this Agreement by Licensee.
8. Obligations.
a) N2 Support. ALTISCAPE shall provide reasonable technical assistance to Licensee via telephone and e-mail to enable Licensee to successfully integrate the N2 Player as a component of the Bundle. The parties agree to provide each other with assistance that may be necessary to accomplish such integration.
b) N2 Reproduction. The Licensee shall bear all costs associated with reproducing the N2 for the purposes outlined in this Agreement, either from Disk Media or Internet downloads.
c) Warranty to Licensee. ALTISCAPE represents and warrants to Licensee that it has the rights to grant the licenses herein. In no case will ALTISCAPE be liable for any representation or warranty made to any third party or end-user by the Licensee. ALTISCAPE does not warrant that the Licensee's Content Files will be uninterrupted, or that the operation of the N2 Player will be error-free.
9. Use of ALTISCAPE's Trademarks
&
Marketing Obligations.
a) ALTISCAPE Marks. Licensee acknowledges that"ALTISCAPE"&"N2 Player"and other associated logos used by ALTISCAPE with the N2 Player are trademarks of ALTISCAPE. ALTISCAPE hereby grants to Licensee a non-exclusive, limited license to use the ALTISCAPE Marks in connection with Licensee's marketing and distribution of the Bundle.
b) Proprietary Notices. The Licensee, its employees, and agents shall not remove or alter any ALTISCAPE trademark, copyright, or other proprietary notices on or in copies of the N2 and its documentation.
c) Advertising Materials. All advertising and promotional materials for the Licensee's Bundle shall include text stating that the N2 is compatible with the Licensee's Content Files.
d) N2 Logo Placement. Licensee agrees to prominently place the N2 logo on any Bundle packaging that the Licensee distributes on Disk Media, and on all web pages that the N2 is available for download from, on any website.
e) Other Marketing Activities. Licensee agrees to cooperate with ALTISCAPE on press releases which ALTISCAPE may issue relating to this Agreement and provide links to the ALTISCAPE website (www.Altiscape.com) from the Licensee's primary website.
10. Termination.
a) Termination with Cause. In the event either party materially breaches any provision of this Agreement, the non-breaching party must be given written notice of such breach. The non-breaching party may terminate this Agreement immediately if such breach has not been cured within thirty (30) days from the notice of the breach.
b) Effect of Termination. Upon termination of this Agreement: (i) Licensee shall cease using the N2 Player in any and all manners and shall immediately remove all downloads from any Internet web page the N2Setup.exe file is posted on, and must stop distributing any Disk Media that includes the N2 until a new license is in force.
11. Agreement Confidentiality."Agreement Confidentiality"means any terms in this Agreement cannot be disclosed under any circumstances without prior written consent. Each party agrees that it will not disseminate any information relating to this Agreement unless authorized in writing by the other party.
12. Disclaimer of Warranties and Limitation of Liability.
a) Disclaimer of Warranties. EXCEPT AS SPECIFICALLY SET FORTH ABOVE, NEITHER PARTY MAKES ANY WARRANTIES, AND BOTH PARTIES HEREBY DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR USE OR PURPOSE.
b) Limitation of Liability. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY EITHER PARTY OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT OR BASED ON A WARRANTY, EVEN IF THE OTHER PARTY OR ANY OTHER PERSON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. General.
a) Intellectual Property. Nothing in this Agreement shall be interpreted to provide Licensee with any title or ownership rights in the software and materials provided by ALTISCAPE.
b) Notices. All notices and demands under this Agreement will be in writing and will be delivered with a confirmation to the address of the receiving party. Notice will be effective upon the receipt of the notice or the demand.
c) Survival. The covenants contained in this Agreement which, by their terms, require or contemplate performance by the parties after the expiration or termination of this Agreement shall be enforceable notwithstanding said expiration or termination.
d) GOVERNMENT RESTRICTED RIGHTS: The N2 Player and documentation are provided with RESTRICTED RIGHTS. Use, duplication or disclosure by the Government is subject to restrictions set forth in subparagraphs (a) through (d) of the Commercial Computer Software--Restricted Rights at FAR 52.227-19 when applicable, or in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, as applicable. Manufacturer is ALTISCAPE, Inc., 6686 Fenton Street, Arvada, Colorado 80003. Licensee acknowledges that neither the N2 technology may be downloaded, exported or re-exported into (or to a national or resident of) any country to which the U.S. has embargoed goods. By using the N2, Licensee agrees to the foregoing and represents and warrants that it is not located in or under the control of a foreign national or foreign resident of any embargoed country.
e) Miscellaneous. This Agreement constitute the complete and exclusive agreement between ALTISCAPE and Licensee, superseding all prior oral or written understandings, communications or agreements. This Agreement may not be modified except in writing, duly signed by an authorized officer of ALTISCAPE and the Licensee. The waiver by either party of any breach of this Agreement by the other party will not waive subsequent defaults by such party of the same or a different kind. If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable. This Agreement shall be governed by, and construed in accordance with the laws of the State of Colorado. Any litigation or other dispute resolution between the parties relating to this Agreement shall take place in Jefferson County, Colorado. The parties hereby consent to the jurisdiction of, and venue in the state and federal courts within Jefferson County, Colorado.

N2 Player - Electronic End-User License Agreement
CAREFULLY READ THE FOLLOWING LICENSE AGREEMENT BEFORE
CLICKING 'ACCEPT'. BY INSTALLING THE SOFTWARE, YOU
INDICATE YOUR UNCONDITIONAL ACCEPTANCE OF ALL TERMS
AND CONDITIONS IN THIS AGREEMENT. IF YOU DO NOT AGREE TO
ALL TERMS AND CONDITIONS IN THIS AGREEMENT, THEN YOU
WILL NOT BE ABLE INSTALL THE N2 PLAYER SOFTWARE.
COPYRIGHT PROTECTION
The Software is owned by Altiscape and its suppliers and is protected by
United States and international copyright laws and treaty provisions. All
rights are reserved by Altiscape. You must treat the entire Product like any
other copyrighted material. This license and your right to use the Product
will terminate automatically if you violate the license agreement. If you
violate the LICENSE GRANT and the agreement is terminated, you must
immediately delete and/or destroy all copies of the N2 Software or return
them to Altiscape.
LICENSE GRANT
You are granted a non-exclusive license to use the N2 Software. The
Software may be installed on one or more personal computer's. The
N2SETUP.EXE software and it's accompanying presentation can be
installed on a computer server or network for simpler user access.
You may copy the entire N2SETUP.EXE software file to another person or
entity, provided that the new licensee agrees to all terms and conditions of
this agreement.
INTELLECTUAL PROPERTY IMDEMNIFICATION
Altiscape has been indemnified by the Content Provider of this
presentation. Any intellectual property infringement found in this
presentation relating to the Content Provider's files automatically indemnifies
Altiscape from any liability.
The Content Provider has agreed to hold harmless and indemnify and
defend ALTISCAPE, its employees, suppliers, contractors and agents from
and against any losses, damages, costs and expenses (including attorney
fees and costs) arising out of, or relating to any claims that the Content
Provider's N2 presentation uses content files that they do not own and/or
are unauthorized to distribute.
Under this indemnification clause, any liability arising out of the Content
Provider's distribution of pirated content gives Altiscape the right to disable
the presentation's play and download capability.
