MASTER ALBUM MAKER VIEWER END USER LICENCE AGREEMENT
1 GENERAL NOTICE
1.1 The copyright and other intellectual property rights in this Software and Documentation are owned by the Owner.
1.2 By installing the Software you agree with the Owner to be bound by the terms of this Agreement which will govern your use of the Software.
1.3 If you do not agree to be bound by these terms the Software will not be installed on your computer.
2 DEFINITIONS
2.1 In this Agreement:
2.1.1"Documentation"means the explanatory written materials relating to and associated with the Software
2.1.2"Files"means and includes the installer file and all files loaded on to your computer by the installer file
2.1.3"Owner"means Intrepid Mouse Limited, company incorporated under the laws of England with registration number 4153274
2.1.4"Person"means and includes any natural person, firm, partnership, company, corporation, association, organisation, government, state, foundation and trust (in each case whether or not having separate legal personality)
2.1.5"Album"means a collection of digital images created and produced by and with the Master Album Maker
2.1.6"Software"means and includes
2.1.6.1 all the contents of the Files with which this Agreement is provided including Third Party Software; and
2.1.6.2 all upgrades, modified versions, updates and additions to and of the Software
2.1.7"Third Party Software"means computer software owned by a Person other than the Owner and forming part of the Software
3 LICENCE
3.1 You are permitted to:
3.1.1 Install the Software onto and use it on any computer which is under your control;
3.1.2 Use the Software and the Documentation for the purpose of viewing Albums;
3.1.3 Make copies of the Software for back-up purposes in support of the permitted uses. The copies must reproduce and include the Owner's copyright notice. Such copies shall be the property of the Owner and this Agreement shall apply to such copies as it applies to the Software;
3.1.4 Transfer the Software and the benefit of this Agreement to another person provided that person has agreed to accept the terms of this Agreement. If any transferee does not accept such terms then this Agreement shall automatically terminate;
3.2 You are not permitted:
3.2.1 To use the Software to view any work or material that is defamatory, obscene or pornographic;
3.2.2 To use the software in any manner that is illegal;
3.2.3 Except as expressly permitted by this Agreement and save to the extent and in the circumstances expressly permitted by law, to rent, lease, sub-licence, loan, copy, modify, adapt, merge, translate, reverse engineer, decompile, disassemble or create derivative works based on the whole or any part of the Software or the Documentation or use, reproduce or deal in the Software or the Documentation or any part thereof in any way.
4 TERM
4.1 This Agreement is effective until you terminate it by destroying the Software and the Documentation together with all copies. It will also terminate if you fail to abide by its terms. Upon termination you agree to destroy all copies of the Software and the Documentation including any Software stored on the hard disk of any computer under your control.
5 OWNERSHIP
5.1 The Owner shall at all times retain ownership of the Software.
6 WARRANTIES
6.1 The Owner warrants that the Software will perform substantially in accordance with the Documentation (provided the Software is properly used on the computer and with the operating system for which it was designed) and that the Documentation correctly describes the operation of the Software in all material respects.
6.2 The Owner does not warrant that the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free or that defects in the Software will be corrected. You shall install and use the Software at your own risk and in no event will the Owner be liable to you for any indirect or special loss or damage of any kind (except personal injury or death resulting from the Owner's negligence or breach of this Agreement) including any form of lost profits or consequential loss arising from your use of or inability to use the Software or from errors or deficiencies in it whether caused by negligence or otherwise. The Owner shall also not be liable for any failure by the Software to provide any functions not specified in the Documentation.
6.3 The express terms of this Agreement are in lieu of all warranties, conditions, undertakings, terms and obligations implied by statute, common law, trade usage, course of dealing or otherwise all of which are hereby excluded to the fullest extent permitted by law.
7 SUPPORT
7.1 The Owner maintains on its web site (www.intrepidmouse.com) responses to numerous frequently asked questions and provides access to a customer forum.
8 GENERAL
8.1 This Agreement constitutes the entire agreement and understanding between you and the Owner and supersedes any prior written or oral representations, statements, agreements or understandings relating to the Software.
8.2 No variation or amendment of this Agreement shall be binding unless made in writing and signed by a duly authorised officer of the Owner.
8.3 If any provision of this Agreement is found to be illegal void or unenforceable then it will be deemed to be omitted and the remaining provisions of this Agreement shall continue in full force and effect.
8.4 The headings in this Agreement are for convenience only and are not intended to have any legal effect.
9 LAW
9.1 English Law shall govern the construction validity and performance of this Agreement in all respects. |
