MASTER ALBUM MAKER - STANDARD EDITION
END USER LICENCE AGREEMENT
1 GENERAL NOTICE
1.1 The copyright and other intellectual property rights in this Software and Documentation are owned by the Owner.
1.2 For shrink-wrapped software:
1.2.1 By removing the shrink-wrap packaging from around this product you agree with the Owner to be bound by the terms of this Agreement which will govern your use of the Software.
1.2.2 If you do not accept these terms you may within 7 days of purchase return the Software, the Media on which it is provided, recorded or stored, its packaging and the Documentation unused and intact to your supplier together with proof of purchase for a full refund.
1.3 For click-wrapped software:
1.3.1 By installing the Software you agree with the Owner to be bound by the terms of this Agreement which will govern your use of the Software.
1.3.2 If you do not agree to be bound by these terms the Software will not be installed on your computer.
2 DEFINITIONS
2.1 In this Agreement:
2.1.1"Album Styles"means the images, designs and templates supplied with the Software or subsequently made available by the Owner for use with the Software in the creation and production of Published Albums
2.1.2"Documentation"means the explanatory written materials relating to and associated with the Software
2.1.3"Files"means and includes the installer file and all files loaded on to your computer by the installer file
2.1.4"Media"means and includes disks, CD-ROMs and all other media on which data, work and materials may be provided, recorded or stored digitally
2.1.5"Owner"means Intrepid Mouse Limited, company incorporated under the laws of England with registration number 4153274
2.1.6"Person"means and includes any natural person, firm, partnership, company, corporation, association, organisation, government, state, foundation and trust (in each case whether or not having separate legal personality)
2.1.7"Published Album"means a collection of digital images in an Album Style created and produced by and with the Software
2.1.8"Registered User"means a Person who has registered their Master Album Maker End User Licence online through the Owner's web site, or who has signed and returned a completed Licence Registration Form
2.1.9"Software"means and includes
2.1.9.1 all the contents of the Files and/or Media with which this Agreement is provided including in particular (a) Third Party Software and (b) Album Styles; and
2.1.9.2 all upgrades, modified versions, updates and additions to and of the Software
2.1.10"Third Party Software"means computer software owned by a Person other than the Owner and forming part of the Software
2.1.11"Unlocking Code"means the unique alphanumeric code supplied to you by the Owner for the purpose of unlocking or activating all or any part or parts of the Software
3 LICENCE
3.1 You are permitted to:
3.1.1 Install the Software onto and use it on a single computer which is under your control;
3.1.2 Use the Software and the Documentation for the purpose of the creation and production of Published Albums;
3.1.3 Use, display, modify and reproduce any of the Album Styles in the course of the proper use of the Software;
3.1.4 Create, produce, supply and distribute Published Albums free of charge to private individuals for personal use;
3.1.5 Transfer the Software from one computer to another provided it is used on only one computer at any one time;
3.1.6 Make a copy of the Software for back-up purposes only in support of the permitted uses. The copy must reproduce and include the Owner's copyright notice. Such copy and the Media on which it is recorded or stored shall be the property of the Owner and this Agreement shall apply to such copy as it applies to the Software;
3.2 You are not permitted:
3.2.1 To sell or permit the sale of Published Albums;
3.2.2 To use the Software or create, produce, supply or distribute Published Albums for the purposes of or in the course of any trade, profession or occupation, or to permit or assist any Person to do the same;
3.2.3 To install the Software on to a network server for the purposes of distribution to one or more computer(s) on that network or to effect such distribution;
3.2.4 To disclose or reveal the Unlocking Code to any Person;
3.2.5 Except as expressly permitted by this Agreement and save to the extent and in the circumstances expressly permitted by law, to rent, lease, sub-licence, loan, copy, modify, adapt, merge, translate, reverse engineer, decompile, disassemble or create derivative works based on the whole or any part of the Software or the Documentation or use, reproduce or deal in the Software or the Documentation or any part thereof in any way.
3.3 You must not use the Software for the creation, production, supply or publication of any work or material:
3.3.1 That is defamatory, obscene or pornographic; or
3.3.2 The rights to which belong to any Person without that Person's express permission to do so
Or in any manner that is illegal.
4 TERM
4.1 This Agreement is effective until you terminate it by destroying the Software and the Documentation together with all copies. It will also terminate if you fail to abide by its terms. Upon termination you agree to destroy all copies of the Software and the Documentation including any Software stored on the hard disk of any computer under your control. Any Media on which such copies were provided, recorded or stored will after destruction of those copies revert to you.
5 OWNERSHIP
5.1 You own only the Media on which the Software is provided, recorded or stored. You may retain the Media on termination of this Agreement provided the Software has been erased. The Owner shall at all times retain ownership of the Software. This Agreement applies to the grant of the licence contained herein only and not to the contract of sale of Media.
6 WARRANTIES
6.1 The Owner warrants that the Media on which the Software is provided, recorded or stored will be free from defects in materials and workmanship under normal use for a period of 90 days after the date of original purchase ("the Warranty Period"). If a defect in such Media shall occur during the Warranty Period it may be returned with proof of purchase and (so far as you are able) a documented example of such defect or error to the Owner who will replace it free of charge.
6.2 The Owner warrants that the Software will perform substantially in accordance with the Documentation (provided the Software is properly used on the computer and with the operating system for which it was designed) and that the Documentation correctly describes the operation of the Software in all material respects. If the Owner is notified of significant errors during the Warranty Period it will correct any such demonstrable errors in the Software or the Documentation within a reasonable time or (at its option) provide or authorise a refund (against return of the Software and the Documentation).
6.3 The Owner does not warrant that the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free or that defects in the Software will be corrected. You shall install and use the Software at your own risk and in no event will the Owner be liable to you for any indirect or special loss or damage of any kind (except personal injury or death resulting from the Owner's negligence or breach of this Agreement) including any form of lost profits or consequential loss arising from your use of or inability to use the Software or from errors or deficiencies in it whether caused by negligence or otherwise. The Owner shall also not be liable for any failure by the Software to provide any functions not specified in the Documentation. In respect of any other claim, in no event shall the Owner's liability exceed the amount paid by you for the Software.
6.4 The express terms of this Agreement are in lieu of all warranties, conditions, undertakings, terms and obligations implied by statute, common law, trade usage, course of dealing or otherwise all of which are hereby excluded to the fullest extent permitted by law.
7 EVALUATION COPIES
7.1 If the Software you have received with this Agreement is an evaluation copy of the Software ("Evaluation Software") then the following clause applies until such time as you purchase a licence for the full version of the Software.
7.2 To the extent that any provision in this clause is in conflict with any other term or condition in this Agreement then this clause shall supersede such other term or condition with respect to the Evaluation Software, but only insofar as is necessary to resolve that conflict.
7.3 You acknowledge that
7.3.1 the Evaluation Software contains limited functionality and/or functions; and
7.3.2 the Owner is licensing the Evaluation Software on an 'as is' basis and solely for the purposes of evaluation.
7.4 The Evaluation Software will terminate certain operations after a period of 30 days following installation including in particular the ability to create, produce and/or access any Published Albums.
7.5 Published Albums created by the Evaluation Software shall cease to function after a period of 2 days. You acknowledge that access to such Published Albums will be lost.
7.6 You acknowledge that the creation of any Published Albums or other work using the Evaluation Software is done entirely at your own risk.
8 SUPPORT
8.1 The Owner provides free technical support by e-mail for Registered Users only.
8.2 The Owner also maintains on its web site (www.intrepidmouse.com) responses to numerous frequently asked questions and provides access to a customer forum.
9 GENERAL
9.1 This Agreement constitutes the entire agreement and understanding between you and the Owner and supersedes any prior written or oral representations, statements, agreements or understandings relating to the Software.
9.2 No variation or amendment of this Agreement shall be binding unless made in writing and signed by a duly authorised officer of the Owner.
9.3 If any provision of this Agreement is found to be illegal void or unenforceable then it will be deemed to be omitted and the remaining provisions of this Agreement shall continue in full force and effect.
9.4 The headings in this Agreement are for convenience only and are not intended to have any legal effect.
10 LAW
10.1 English Law shall govern the construction validity and performance of this Agreement in all respects. |
