Software License Agreement
Important Notice
This Software License Agreement (the "Agreement") is a legal contract that specifies the terms of the license and warranty and liability limitations between you and Gracelogic Software ("Gracelogic") for the Inplace Calculator software (the "Software") and related documentation. You should carefully read the following terms and conditions before installing or using the Software. Unless you have entered into a separate written license agreement signed by Gracelogic providing otherwise, installation or use of the Software confirms your acceptance of the Software and indicates your agreement to be bound by these terms and conditions. If you do not agree to these terms, promptly delete and destroy all copies of the Software and related documentation in your possession.
The Software is available in a registered and an evaluation version. The evaluation version is available free-of-charge for a 14-days evaluation period. Both the registered and the evaluation versions of the Software are subject to the terms and conditions of this Agreement. After the 14-day evaluation period has expired, the evaluation version must be registered. The registered version of the Software requires payment by you of a license fee. The evaluation version of the Software is the only version that is provided without charge. The evaluation version is not free Software and is subject to the restrictions set forth below.
UPON ORDERING, DOWNLOADING, INSTALLING OR USING ANY VERSION OF THE SOFTWARE, YOU ARE REAFFIRMING THAT YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.
License to Use
Gracelogic grants you a limited, non-exclusive, non-transferable, non-sublicenseable license to use one copy of the Software either (1) by a single person who uses the Software personally on one or more computers, or (2) by multiple people non-simultaneously on a single workstation, but not both. You may access the registered version of the Software through a network, provided that you are the only person who may use the Software or you have obtained individual licenses for the Software covering all workstations that will access the Software through the network. For instance, if eight different workstations will access the Software on the network, each workstation must have its own Software license, regardless of whether the workstations access the Software at different times or concurrently.
The Software and documentation are protected by the copyright laws of the United States and international treaty provisions. There are severe penalties, both civil and criminal, for copyright infringement. Therefore, you must treat the Software like any other copyrighted material except that you may install the Software on a single computer. You may not use the Software, or re-distribute, or copy all or part of the Software or related documentation other than as expressly provided herein, except that you may make a reasonable number of copies of the Software solely for backup or archival purposes. You are specifically prohibited from copying the Software to an additional server or workstation for any purpose other than archival.
Software Upgrades
This Agreement also applies to all updates, supplements, add-on components, or Internet-based services components, of the Software that Gracelogic may provide to you or make available to you after the date you obtain your initial copy of the Software, unless we provide other terms along with the update, supplement, add-on component, or Internet-based services component.
Redistribution

Other Limitations
All title and copyrights in and to the Software (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software), the accompanying printed materials, and any copies of the Software are owned by Gracelogic. You acknowledge and agree that except for the rights granted in this Agreement, all other rights remain the sole and exclusive property of Gracelogic, including all patent, copyright, trade secret, trademark and other proprietary rights therein. You may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. This Software along with the related documentation is licensed as a single product. Its component parts may not be separated for use on more than one computer.
If you have acquired the evaluation version, the license granted herein shall automatically terminate fourteen (14) days after you first install such version. Subsequent downloads, installations or use of the evaluation version by or for you will not extend, renew, or otherwise restart the term of the license. The license granted for the registered version will continue until it is terminated. Gracelogic reserves the right to terminate any license granted herein if its holder fails to comply with the terms of this Agreement. Upon the termination of a license for any reason, you must promptly return to Gracelogic or destroy all copies of the Software and related documentation covered by the license.
Limited Warranty
Gracelogic expressly disclaims any warranty for the Software. The Software and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the Software remains with you.
The exchange rates provided by the currency rates update service are for informational purposes only. These rates must not be interpreted to be the official exchange rates. You assume the entire risk as to the accuracy and the use of this service.
In no event shall Gracelogic be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if Gracelogic has been advised of the possibility of such damages. |
