END-USER LICENSE
NOTICE
READ THIS AGREEMENT CAREFULLY
BEFORE INSTALLING, COPYING OR USING THIS SOFTWARE.
Grassroots Communications, Inc. ("GRC") is willing to license this software (this "Software") to you for a 14-Day Free Trial on condition that you accept all of the terms and conditions (the "Terms and Conditions") contained in this limited, nonexclusive end-user license (this "License"). By installing, copying or using this Software, you accept and agree to be bound by the Terms and Conditions. If you do not accept the Terms and Conditions, promptly destroy the unused Software and all accompanying materials (including printed materials and containers) or return them to the retailer from whom you obtained them.
1. Limited, Nonexclusive License.
a. Grant of License. GRC grants you the right during a limited 14-day trial period to install, copy and use this Software, the applicable documentation (the "Documentation") and related materials solely in the manner described in this License. This copy of said License is your proof of such grant and must be retained by you.
b. License, Not Sale. This is a limited, nonexclusive license. It is NOT an agreement for the sale of this Software. GRC retains all rights not expressly granted to you by this License, including, without limitation, all copyright, trade secret, patent and other proprietary rights, in this Software, the Documentation, and other content provided to you hereunder. GRC retains all such rights in copies of this Software that this License authorizes you to make. This Software, the Documentation and the GRC Web Site located at www.grclive.com (the "GRC Live Web Site"), including, without limitation, any incorporated images, applets, photographs, animations, video, audio, music and text, are owned by GRC or its suppliers and are protected by United States copyright law and international treaty provisions. Nothing in this License constitutes a waiver of rights under United States or international copyright law or any other federal or state law.
c. Registration. Prior to your use of this Software, you will be required to register as a user of the GRC Live Web Site. You agree that the information you provide as part of the registration process will be current, complete and accurate information. Providing information that is not current, incomplete or inaccurate, whether willfully or inadvertently, will be grounds for immediate termination of this License at GRC's sole and exclusive discretion, pursuant to Section 10 below.
d. No Guaranty of Availability. GRC does not guarantee the continued availability of this Software or any features of this Software and reserves the right to change this Software at any time. GRC also reserves the right to terminate its provision of the Information Update Database with or without notice without accruing liability to you.
e. Your Responsibilities. As a licensee of this Software, you are solely responsible for the proper installation and operation of this Software in accordance with the instructions and specifications set forth in the Documentation. GRC shall have no responsibility or liability to you, under the Limited Warranty (as defined below) or otherwise, for improper installation or operation of this Software. Any output or execution errors resulting from improper installation or operation of this Software shall not be deemed "defects" for purposes of the Limited Warranty. You are also responsible for (i) obtaining and maintaining all computer hardware and communications equipment necessary to use this Software and (ii) paying all ISP and other third-party access charges incurred while accessing the GRC Live Web Site and using this Software.
2. Terms of Use.
a. License Limited to Your Use. This License permits your personal use of this Software on a single machine accessible to a single user. This License DOES NOT PERMIT use of this Software by more than one user at more than one terminal accessing a single copy of this Software. You may not transfer this Software among computers on a network. This Software is considered to be in use when all of this Software or a portion thereof is resident in the memory, resident in virtual memory or stored (whether on hard disk or other device) on a single-user computer or stand-alone workstation. You may make one copy of this Software solely for backup or archival purposes and transfer this Software to a single hard disk, provided that you (i) keep such copy solely for such backup or archival purposes and (ii) retain all copyright and other proprietary notices intact on the back-up copy. You may not copy the Documentation or other printed materials accompanying this Software. Nothing in this License constitutes a waiver of its rights by GRC under United States or international copyright law or any other federal or state law.
b. Prohibited Materials. In connection with your use of this Software, you agree not to post or transmit any defamatory, harassing, libelous, abusive, threatening, harmful, obscene, vulgar or illegal material or material that is materially false, misleading or inaccurate. You agree not to post or transmit material that diminishes the ability of others to enjoy the GRC Live Web Site or material that infringes any of the intellectual property, privacy or publicity rights of others. You also agree not to post or transmit material that violates any statute, ordinance or regulation (including, without limitation, statutes, ordinances or regulations governing export control, unfair competition, discrimination or false advertising). You further agree not to post or transmit material that contains any viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information. Under no circumstances will GRC be liable for any content posted, e-mailed or otherwise transmitted by users of the GRC Live Web Site.
c. Prohibited Activities. You agree not to use this Software for hacking, spying or transmissions to any person who has not specifically given you permission to contacted him or her. Your use of this Software and the GRC Live Web Site shall be in compliance with all applicable laws, including, without limitation, copyright, trademark, obscenity and defamation laws. You agree not to use this Software in connection with chain letters, SPAM, surveys, contests, pyramid schemes or any unsolicited use of distribution lists. You also agree not to use this Software or the GRC Live Web Site to harvest or otherwise collect information about others, including e-mail addresses, without their consent. Use of this Software or the GRC Live Web Site for promoting or offering escort services or similar paid services is strictly prohibited. Use of this Software or the GRC Live Web Site to post or transmit child or teenage pornography or any other material that is harmful to minors is absolutely prohibited.
d. Effects of Misuse. GRC cannot monitor all uses of this Software or the GRC Live Web Site. If misconduct such as that described in to Subsections 3(a), 3(b) and 3(c), as they appear above and as they may be amended from time to time, should be reported to GRC, however, GRC, at its sole and exclusive discretion, may immediately and irrevocably terminate this License. In addition, because of the particularly heinous character of pedophilic materials, GRC shall abide by international legislation and notify the responsible authorities of the identities of any users who post or transmit such content.
e. Other Restrictions. You may not reverse engineer, decompile, disassemble, modify, translate or otherwise attempt to derive source or object code from any part of this Software. You may not use or copy this Software except as specifically authorized in this Agreement. You may not sublicense, distribute, timeshare, lease, rent, prepare derivative works from or publicly display this Software. You may not grant a security interest in or otherwise transfer any rights you have in the use of this Software. You are prohibited from reselling or acting as a service bureau with respect to the Software.
3. User's Assurances to GRC. By posting or submitting content to the GRC Live Web Site in connection with your use of this Software, you:
a. Grant GRC the right to use, reproduce, display, perform, adapt, modify, distribute and have distributed such content as necessary in connection with the performance of this Software; and
b. Warrant and represent that you own or otherwise control all of the rights to the content that you post or transmit and that posting and transmission of your content by GRC will not infringe or violate the rights of any third party or violate any law.
4. Disclaimer of warranties. The software is provided as-is, without warranty of any kind. Grc does not warrant that this software will meet your requirements or that the operation of this software or the information therein will be uninterrupted or error free. Grc does not guarantee the timeliness, sequence, accuracy or completeness of the information contained in this software, the documentation or the information update database, whether on line or through supplemental media. To the extent allowed by law, grc expressly disclaims all express warranties and all implied warranties, including, without limitation, implied warranties of fitness for a particular purpose, merchantability and non-infringement. If this software qualifies as a "consumer product" under the magnuson-moss warranty act, any implied warranties are limited to fifteen (14) days from the date you acquired this software from grc or its authorized distributors. Thereafter any implied warranties are expressly disclaimed. Because some states/jurisdictions do not allow limitations on the duration of an implied warranty, this limitation may not apply to you.
5. Incidental and consequential damages. To the maximum extent permitted by applicable law, in no event shall grc or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information or other pecuniary loss) arising out of the use or inability to use this software, even if grc had been advised of the possibility of such damages. In no event shall grc be liable for any direct, indirect, special, incidental or consequential damages (including lost profit) whether based on warranty, contract, tort or any other legal claim. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, this limitation may not apply to you.
6. Your Liability. You agree to be liable to GRC for any and all losses, damages, liabilities, costs, charges and expenses, including reasonable attorneys' fees, arising out of any breach or alleged breach of this License on your part or any breach by you of the warranties and representations contained herein.
7. United States Government Restricted Rights. This Section applies to all acquisitions of this Software by or for the federal government. Use, duplication or disclosure of this Software, the Documentation or the Information Update Database by the federal government or any department or agency thereof is subject to the restrictions set forth in subparagraph (b)(5) of the Rights in Technical Data and Computer Software clause of DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights clause at 48 CFR 52.2271-19, as amended and as applicable, or any successor regulations thereto. For the purposes of this Section GRC is the "Contractor." This License supersedes any contrary terms or conditions in any statement of work, contract or other document that is not required by statute or regulation. If any provision of this License is unacceptable to the federal government, Contractor may be contacted at GrassRoots Communications, Inc., 73-200 El Paseo 2H, Palm Desert, CA 92260. If any provision of this License violates applicable federal law or does not meet the federal government's actual, minimum needs, the federal government agrees to return the unused Software.
8. Export Controls. You acknowledge that this Software is subject to the export control laws and regulations of the United States and any amendments thereof. You agree that you will not directly or indirectly transfer this Software except in compliance with all applicable United States export laws and regulations.
9. Termination. This License is effective for 14 days from the time you install this Software unless terminated earlier by GRC pursuant to Subsections 1(c) or 2(d) above or for breach of the terms of this License. You may terminate this License at any time by destroying all copies of this Software, Documentation and related materials in your possession or by returning all such copies to GRC or your retailer. This License shall be automatically terminated if you assign or attempt to assign this License to someone else. Upon termination, you must stop all use of this Software and must destroy or return to GRC any copies of this Software and related materials that remain in your possession. Returning this Software to GRC after the installation, copying or use of this Software shall not entitle you to any monetary compensation.
10. Miscellaneous Provisions. This License shall be governed by and construed according to the substantive law of California. This is the entire agreement between us relating to this Software and supersedes any prior purchase order, communication, advertising or representation concerning this Software. No change or modification of this License will be valid unless it is in writing and signed by GRC. No vendor, distributor, dealer, retailer, salesperson or other person is authorized to modify this license or to make any warranty, representation or promise that is different from or in addition to the representations or promises in this license. No waiver of any right under this License shall be effective unless in writing, signed by a duly authorized representative of GRC. If any provision of this License is held by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be fully severable, and this License shall be construed and enforced as if the invalid or unenforceable provision had never been a part of this License. |
