END-USER LICENSE AGREEMENT FOR NEUTRONIX CORPORATION SOFTWARE
IMPORTANT--PLEASE READ THIS LICENSE AGREEMENT CAREFULLY. This NEUTRONIX End-User License Agreement (this "Agreement") is a legal agreement between you (either an individual or a single entity), as an end-user, and NEUTRONIX CORPORATION ("NEUTRONIX") for the software accompanying this Agreement, which includes computer software and may include associated media, printed materials and "online" or electronic documentation (collectively, the "SOFTWARE").
The SOFTWARE is licensed, not sold, by NEUTRONIX to the original customer and any subsequent transferee of the Software for use only on the terms set forth here. By exercising your rights to install, copy and use the SOFTWARE, you agree to be bound by these terms. If you do not agree to these terms, you may not install, copy or use the SOFTWARE. The SOFTWARE is owned by NEUTRONIX or its suppliers and is protected by copyright laws and international treaty provisions, as well as other intellectual property laws and treaties. NEUTRONIX retains title to and ownership of the SOFTWARE. All copies and portions of the SOFTWARE, in any form, belong to NEUTRONIX, which retains all rights not expressly granted. Nothing in this Agreement constitutes a waiver of NEUTRONIX's rights under United States copyright law or any other law.
GRANT OF LICENSE.
NEUTRONIX grants you the right to use one copy of the SOFTWARE on a single terminal connected to a single computer (i.e., with a single CPU) at any time. The SOFTWARE is licensed to you for your own individual use only. The SOFTWARE may not be copied except that you may make one additional copy of the SOFTWARE solely for backup or archival purposes. COPYRIGHT. All title and copyrights in and to the SOFTWARE or any portion thereof, any accompanying printed materials and any copies of the SOFTWARE are owned by NEUTRONIX or its suppliers. The SOFTWARE is protected by copyright laws and international treaty provisions, as well as other intellectual property laws and treaties. Therefore, you must treat the SOFTWARE like any other copyrighted material.
OTHER RESTRICTIONS.
You may not rent, lend or lease the SOFTWARE, but you may transfer the SOFTWARE and accompanying written materials on a permanent basis provided you retain no copies and the recipient agrees to the terms of this Agreement. You may not alter, modify or adapt the SOFTWARE or accompanying materials or reverse engineer, decompile, disassemble, or create derivative works from the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. The SOFTWARE is licensed as a single component; accordingly, you may not separate its component parts for use on more than one computer. NEUTRONIX may terminate this Agreement if you fail to comply with any of its terms and conditions. In such event, you must destroy all copies of the SOFTWARE or any portion thereof.
LIMITED WARRANTY
NO WARRANTIES; LIMITATION OF DAMAGES. NEUTRONIX expressly disclaims any warranty for the SOFTWARE. The SOFTWARE is provided "AS IS" without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose or noninfringement. The entire risk arising out of the use or performance of the SOFTWARE remains with you. Because some states do not allow the exclusion of implied warranties, the above exclusion may not apply to you. In that event, any implied warranties are limited in duration to ninety (90) days from the date of delivery of the SOFTWARE.
REGARDLESS OF WHETHER ANY REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE, IN NO EVENT WILL NEUTRONIX BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INDIRECT OR SIMILAR DAMAGES, INCLUDING ANY LOST PROFITS OR LOST DATA ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE OR ANY DATA SUPPLIED THEREWITH EVEN IF NEUTRONIX OR ANYONE ELSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO CASE SHALL NEUTRONIX'S LIABILITY EXCEED THE LICENSE FEE FOR THE SOFTWARE. BECAUSE SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. NEUTRONIX CORPORATION RESTRICTED RIGHTS LEGEND Use, duplication or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013.
