| LICENSE AGREEMENT FOR EXPEDITESHIP FOR AIRBORNE EXPRESS This License Agreement ("Agreement") is between you (hereinafter"LICENSEE"or"YOU") and e-ConwareUSA (hereinafter"LICENSOR") for the software ExpediteShip for Airborne Express and any its upgrades which may be acquired by you, including but not limited to, object code, dynamic link libraries, and sample programs, together with the accompanying documentation (hereinafter"THE SOFTWARE"). This agreement constitutes the complete agreement between you and LICENSOR. If you do not agree to the license terms, do not download, install or use the SOFTWARE. It is important that you make a copy of this license agreement for all those in your company/organization who need to be familiar with the license terms. 1. DEFINITIONS a."SOFTWARE"means the described software programs, examples and any accompanying instructions, documentation, technical data, images, recordings, and other related materials. b."Use"means storing, loading, installing, executing, displaying and integrating the SOFTWARE on a single non-server computer during the trial period and after paying the License Fee. c."Software License"means the software license grant and general license terms set forth herein. Each software License has a corresponding License Fee. d."License Fee"means the fee designated by e-ConwareUSA for use of the SOFTWARE designated on this website at the time this Agreement is entered. However you can use the SOFTWARE free of charge for evaluation purposes and for a limited period of time after its initial installation. After the expiration of the trial period, either the License Fee has to be paid or the SOFTWARE has to be uninstalled. e."Trial Version"means a fully functional version of the SOFTWARE, that can be evaluated free of charge for a limited by 30 day trial period. 2. Ownership and License. This is a license agreement and NOT an agreement for sale. e-ConwareUSA continues to own the SOFTWARE . Your rights to use SOFTWARE are specified in this Agreement, and we retain all rights not expressly granted to you in this Agreement. This SOFTWARE is protected by U.S. copyright laws and international treaties. Nothing in this Agreement constitutes a waiver of our rights under U.S. Copyright law or any other federal or state law or international treaty. 3. Grant of License. LICENSOR grants to you, the LICENSEE, a non-exclusive and non-transferable license to install and use one (1) copy of SOFTWARE on either a desktop or portable computer. This license does not entitle LICENSEE to receive from LICENSOR a hard-copy of SOFTWARE or any related documentation. 4. Permitted Uses. You are granted the following rights to SOFTWARE: a) Right to Install and Use.
